Description:

Sheppard, Mullin, Richter & Hampton LLP, an Am Law 50 firm, is seeking a mid-level associate to join its Investment Management team. This position will focus primarily on private fund formation, with an emphasis on private equity, private credit, real estate and other real assets, entertainment and venture capital funds. Sheppard will consider candidates in any location where it has an office, with a preferential consideration given for Dallas.

The Investment Management team at Sheppard advises private fund sponsors and has extensive experience with the formation and offering of various types of U.S. and international pooled investment vehicles and bespoke fund-of-one arrangements, and advises on new laws and regulation applicable to private funds and their managers.  The team also represents significant institutional investors in allocating capital to private fund investments (including with respect to primary, secondary, and coinvest transactions). The attorneys work closely with investment advisory firms providing counsel on a range of operational matters, including internal governance and organization, investment adviser compliance, carried interest and co-investment arrangements, spinouts, GP stakes, secondaries, reorganizations and fund restructurings and portfolio acquisitions and dispositions.  The position will work closely with Sheppard industry teams that advise on client portfolio assets, including Sheppard's private equity team, real estate finance team, EB-5 project finance team, and consumer finance and fintech team, and the successful candidate will have an opportunity to develop specialized expertise in various client portfolio assets.

At Sheppard, we train our associates and help them grow as lawyers, and part of that training involves early and frequent work directly with clients. This is an excellent opportunity to join a collegial office environment while working closely with experienced practitioners on sophisticated matters at a national level.

The ideal candidate will have significant experience in the following areas:
  • At least 4 years of experience in private fund formation
  • Experience drafting and reviewing fund-related documentation, including private placement memoranda, subscription documents and LLC and partnership agreements
  • Experience representing institutional investors in negotiating private fund investments
  • Working knowledge of relevant securities rules and regulations, including the Investment Advisors Act
  • Outstanding academic credentials, experience working at an AmLaw 100 firm, and excellent written and verbal communication skills.

Resume and law school transcript are required to apply.

The annual salary range for this position is $310,000 to $390,000.
