We are seeking a high-caliber corporate attorney with an entrepreneurial mindset to join our team on a freelance or contract basis. The ideal candidate is business-savvy, embraces modern legal technology, and brings significant experience in sophisticated transactional matters, particularly in mergers and acquisitions, complex contract drafting, and the energy or oil & gas sector.

Our attorneys come from large and mid-sized law firms and maintain that same level of skill and professionalism while operating in a flexible, results-driven environment. We are looking for a SeniorAssociate-level or Junior Partner-level attorney to collaborate directly with our Managing Partner on high-impact corporate work.

Responsibilities:

Structure, draft, and negotiate a wide range of corporate and commercial agreements.
Lead or support mergers, acquisitions, divestitures, and joint-venture transactions.
Advise on entity formation, governance, and general business operations.
Provide insight and guidance on matters within the energy, oil & gas, and natural-resources industries when applicable.
Leverage technology to manage workflow efficiently and deliver exceptional client service.

Qualifications:

Juris Doctor (JD) from an accredited law school.
Active member of the Pennsylvania Bar.
4–5 years of experience in corporate transactional law, ideally including exposure to oil & gas or energy-related work.
Exceptional drafting and negotiation skills.
Entrepreneurial approach with the ability to work independently and think strategically.
A portable book of business is welcome but not required.
