A Global Energy Company is an industry leader in the transition to clean energy, working to improve lives by delivering greener and smarter energy solutions that the world needs. AES is seeking a junior attorney with experience in financing transactions, including for renewable energy projects. This position will play an important role within the legal group focusing primarily on tax equity and debt project financing transactions and corporate level financings. The successful candidate will have the ability to clearly communicate, work as part of a team with project finance counterparts and project teams, identify and mitigate risks and manage outside counsel.

Principal Duties and Responsibilities:
  • Attend to all aspects and issues related to renewable energy project financing, including financing of solar, solar plus storage, stand-alone storage and wind projects.
  • Act as internal counsel on tax equity and debt financings for such projects as well as corporate and trade payable financings and tax credit sale transactions.
  • Structure, draft, review and effectively negotiate tax equity and debt financing documentation, including portfolio financing structures with multiple projects being funded under the same construction debt, back-leverage debt, and tax equity partnership documents.
  • Experience in structuring, drafting, reviewing and negotiating power purchase agreements, engineering, procurement and construction contracts and other project-related documents is preferred.
  • Provide general legal counsel and strategic guidance to senior and executive level management.
  • Manage and coordinate closings with AES team members and outside counsel.
  • Effectively and efficiently manage outside counsel.

Desired Experience and Skills:
  • 2 - 5 years of financing experience, preferably at a major law firm or sophisticated in-house legal group.
  • At least 1-2 years' experience in project finance transactions for renewable energy projects.
  • Experience in project development and project-related documentation preferred.
  • Excellent communication skills, both oral and written.
  • Ability to adapt to a variety of duties and work in a fast-paced environment.
  • Smart, decisive, organized, methodical, biased toward action.

Education:
  • Bachelor's Degree
  • J.D. from an accredited law school
