Caplin & Drysdale is seeking a junior associate with 1-3 years of relevant experience to work in our Exempt Organizations practice group based in our DC office.  The ideal applicant will have experience with the IRS rules applicable to tax-exempt organizations as well as familiarity with corporate governance requirements for nonprofit corporations. Experience in preparing or reviewing applications for tax-exemption, advising on issues related to domestic and international grantmaking, or navigating rules on lobbying and political campaign intervention is preferred.

Regular responsibilities of the position include: preparing IRS submissions including exemption applications, determination requests, and private letter ruling requests; drafting corporate governance documents, including bylaws, board resolutions, and operational policies; reviewing grant files and agreements; legal research and drafting memorandums and tax opinions; assisting clients with IRS audits, appeals, and associated controversies; and advising clients on strategic decisions and operational planning.

The successful applicant will join a nationally-recognized exempt organizations practice advising a diverse array of leading nonprofit organizations, including publicly-supported charities, private foundations, advocacy organizations, political organizations, and international NGOs. We are a collaborative practice with a strong focus on teamwork and shared responsibility. Associates need to be able to juggle multiple projects with competing deadlines and are expected to have substantial client contact. All applicants must have excellent written and oral communication skills, attention to detail, sound judgment, strong academic credentials, and the ability to work as a team player.
