The Documentation Attorney will serve the Loan Operations department as legal advisor, legal risk manager, and business partner for matters related to Commercial, Consumer and Residential Loan Documentation.

This role will be responsible for substantive complex documentation review to ensure regulatory compliance and adherence to corporate credit policy.

  • A JD from an accredited law school, excellent academic credentials, and current membership and good standing with the Florida State Bar
  • 10-15 years of relevant commercial lending experience at a law firm and/or in-house law department; experience working in a financial services institutions preferred
  • A demonstrated in-depth technical knowledge of the areas of commercial, consumer and residential loan documentation
  • An ability to collaborate with internal colleagues and staff and to manage and partner with external counsel
  • Self-starter with organizational skills and the ability to handle multiple assignments simultaneously and meet deadlines in a fast-paced environment
  • Strong analytical skills and the ability to balance business needs with legal risks
  • Excellent verbal and written communication skills with an emphasis on contract drafting abilities

Essential Job Functions:
  • Provide transactional support by draft, review and negotiation of legal documentation including borrowing entity organizational documentation, collateral documentation, assignments, amendments, and waivers, whether standard or non-standard
  • Ongoing update/review of standard legal documentation
  • Coordination with and supervision of external attorneys
  • Undertaking legal research and analysis as required or assigned
  • Remain informed and knowledgeable of the lending industry and of legislation, regulations and court cases/decisions affecting the industry
  • Collaboration with Loan Operations leadership on risk management policies and procedures
  • Management of and assistance with legal training projects and other duties and responsibilities assigned
  • Provide guidance to Loan Operations staff on various transactional questions or concerns
