The Director Counsel will provide general legal support to An American Multinational Investment Bank and Financial Services Company in several legal specialization areas, including securities, corporate governance, executive compensation, and others. This role will exercise initiative to solve complex issues, demonstrate strong leadership behaviors and provide counsel based on principles of appropriate risk management rather than risk avoidance. The Director Counsel will be responsible for delivering effective, timely, and practical actionable advice to business leaders on key legal issues while balancing legal and business needs/concerns. This role will be responsible for utilizing outstanding analytical, technical, writing and communication skills while also demonstrating the ability to work under pressure with aggressive deadlines in a dynamic, high-performing, and results driven environment.

*This position will be located in our Lincolshire, IL office*

Responsibilities:
  • Provides advice and counsel on legal aspects of SEC filings and draft and provide comments on securities disclosures, including Annual/Quarterly Reports on Forms 10-K/Q, Current Reports on Form 8-K, Section 16 Filings (Forms 3/4/5) and registration statements, financial and other
  • communications, including earnings releases and investor presentations, and treasury and capital raising transactions
  • Oversees and manages the drafting of the Proxy Statement and related materials for Company annual shareholder meeting
  • Monitors and ensures Company compliance with governance-related requirements under SEC rules and regulations and NASDAQ listing standards
  • Oversees the implementation of An American Multinational Investment Bank and Financial Services Company's policies and procedures regarding An American Multinational Investment Bank and Financial Services Company securities, including insider trading policies and related matters
  • Advises on relevant corporate governance, investor relations, and other public company policies and processes, and support An American Multinational Investment Bank and Financial Services Company's stockholder engagement program
  • Monitors and reports on corporate governance trends, proxy advisor and investor policies, and regulatory and legislative initiatives for impacts on An American Multinational Investment Bank and Financial Services Company
  • Assists in the preparation of An American Multinational Investment Bank and Financial Services Company's ESG disclosures and related reports
  • Assists with matters related to meetings of the Board of Directors and Board Committees, including preparation of meeting materials, resolutions, and relevant research
  • Provides advice and counsel on executive compensation matters
  • Frequent independent contact with all levels of An American Multinational Investment Bank and Financial Services Company team members, including, but not limited to Executive Leadership, other attorneys in the Legal Department, Tax, Corporate Finance, Accounting, Information Securities, Mergers and Acquisitions, Human Resources and various shared services groups

Qualifications:
Minimum Qualifications:
  • D. from an accredited law school required.
  • 15+ years of experience, either in-house or with a law firm, including specialized legal experience in securities and governance. (SEC Filings/Periodic Filings)
  • Demonstrated strong leadership skills and the ability to work well in an environment where coordination and teamwork with legal and business associates is a priority.
  • Ability to influence executives & managers who do not report directly to you; Strong business acumen.
  • Business process improvement experience

  • Strategic planning and visioning with ability to drive execution.

Equivalency: We will consider candidates that have 10+ years of specialized legal experience in securities and governance who have a proven track record of providing support in mid to large sized organizations.
