Responsibilities include:
  • Manage legal diligence, transaction documentation, and internal workstreams for M&A and other strategic transactions. Assist with transaction structuring, execution, integration and ongoing obligations.
  • Advise on corporate governance, treasury matters (including credit facilities and banking relationships) and cross-functional legal and strategic issues.
  • Draft and negotiate commercial agreements, including services, software, consulting, lease, licensing, and nondisclosure agreements.
  • Act as primary legal contact for one or more North American business units.
  • Support and maintain the enterprise compliance program alongside the Chief Compliance Officer.
  • Advise on technology and artificial intelligence adoption.
  • Provide legal support to tax, insurance, and other corporate functions.

  • 4+ years of relevant legal experience, including meaningful familiarity with a variety of commercial agreements and strategic transactions. A combination of law firm and in-house experience is preferred but not required.
  • Demonstrated ability to draft, review, and negotiate sophisticated corporate and commercial agreements.
  • Experience supporting M&A, corporate finance, technology, or related enterprise legal matters is strongly preferred.
  • Strong business and financial acumen, sound judgment, and the ability to synthesize complex information and provide pragmatic, risk-based advice.
  • Excellent organization, project management, and communication skills, with the ability to manage multiple priorities and coordinate cross-functional workstreams independently.
  • Collaborative, dependable, and solutions-oriented approach, with a high degree of integrity and professional accountability.
  • Exceptional, out-of-the-box thinker with astute commercial sense who thrives in a dynamic, entrepreneurial and transaction-driven business.
  • Able to leverage the transactional rigor obtained in a prior law firm practice but willing to step outside of the traditional lawyer-client dynamic, work in direct contact with the business, and be part of business solutions.
  • Committed, collaborative, communicative, dependable and reliable team player.
  • Potential for future career advancement both within the legal department or within a business function.
  • This is a hybrid role based in our Boston office, with in-office attendance three days per week.
