Overview:
Urban One is seeking a Director of Business and Legal Affairs. Reporting to the SVP & General Counsel, the Director of Business and Legal Affairs will be responsible for providing and implementing guidance and legal support for clients within the Company’s corporate and radio division.

Essential Responsibilities:
  • Prepare, review, and negotiate advertising, licensing, programming content, sports rights, vendor contest/prize and event-related agreements (talent, venue, etc.).
  • Prepare and review contest rules.
  • Provide counsel on matters relating to images, music, podcasts, blog posts, social media, etc., including the use of artist, team, event, brand and other materials that may belong to a third party.
  • Provide counsel on matters relating to defamation, liable, slander, and First Amendment issues.
  • Provide counsel on matters relating to sweepstakes, contests, and other promotions.
  • Corporate policy training and compliance auditing.
  • Directly handle or escalate any other legal matters arising in markets/at stations.
  • Manage the Company’s Minority Certification.
  • Manage Corporate real estate portfolio (horizontal (office and studio space) and vertical (towers).
  • Assist with Government RFPs and similar government sales and grants.
  • Maintain record label certifications across the radio group portfolio.
  • Assist with other matters as requested by the SVP & General Counsel.

Knowledge/Skills/Abilities:
  • Must understand the sensibilities of a diverse focused, family-owned public company.
  • Ability to work independently and simultaneously exercise sound judgment about communicating pertinent issues and matters to the General Counsel, EVP/CAO, and/or appropriate executive and business leaders.
  • Ability to provide, apply, and implement legal recommendations and advice in a pragmatic and implementation-oriented manner.
  • Intelligent, analytically precise and articulate, and possessing excellent oral and writing skills.
  • Skilled in prioritizing and meeting deadlines in a fast-paced, high-volume, frequently changing environment that may include high complexity, ambiguity and incomplete information.
  • A disposition and presence that command the respect of and an ability to influence business leaders and internal and outside counsel with differing levels of experience and sophistication.
  • High integrity and ethics in all dealings – internal, external, and personal.
  • Willingness and commitment to “find the facts or answers” as they develop within the organization and an inclination to implement business-specific solutions.
  • Comfortable in a fast-paced, high-volume workplace environment.
  • Exceptional initiative, judgment, prioritizing and organizational skills.
  • Excellent oral and written communication skills.
  • Proficient in Microsoft Word, Excel, Outlook and PowerPoint.
  • Media industry experience, preferred.

Education and/or Experience
J.D. from an accredited law school. Must be licensed to practice law in at least one U.S. jurisdiction. 5-7 years of corporate/business (with at least 2-3 in-house preferred). Minimum three (3) years of current legal and contract management practice drafting, negotiating, and interpreting contracts.
