Job Purpose: This role will advise on transactional issues related to contracts to enable the business to achieve its objectives. You will negotiate and draft agreements, advise on proposal drafts and topics, and lead efforts to protect the business's intellectual property rights.
What You'll Do: (job responsibilities)
- Draft and negotiate agreements, including, all types of publishing agreements, including (such as co-publishing agreements, purchase agreements, administration agreements, and modifications and/ extensions of the foregoing), agreements with digital service providers contracts , service agreements, sponsorships, etc.
- Respond promptly to requests from various internal departments and external clients.
- Work with audit and royalty compliance personnel on responses to audit claims. Negotiate and draft audit settlement agreements.
- Work with Sony in-house litigation staff and outside counsel on litigation matters: Review claims, coordinate responses to discovery requests, review answers, motion papers, briefs, etc.
- Work closely with A&R staff on preparation of proposals deals.
- Work with Gives support and legal advice for Sony affiliates in Latin America on legal matters, as needed.
- Prepare and circulate internal deal approval memos.
- Advise internal clients Sony personnel on legal issues and risks, complex agreement structures, approval processes, copyright issues, company policies and procedures, intellectual property and agreement strategy.
- Support the continuous improvement of standard form agreements and legal processes.
- Perform other relevant duties as assigned.
Who You Are: (skills and experience required)
- Juris Doctor (JD) required, licensed and in good standing to practice law in Florida
- Excellent drafting/writing and communication skills
- Prior experience working for a law firm or corporate experience negotiating and drafting
- 3+ years' experience working in the music industry
- Fluent in English & Spanish (speak, read, and write)
- Demonstrated experience working effectively in a diverse environment
- Computer literacy (MS Word & Excel essential)
- Excellent communication, interpersonal and organizational skills
- Ability to multi-task and juggle competing priorities
- Strong organization skills with high attention to detail
- Ability to be innovative and suggest change/improvements within the scope of work
- Ability to professionally interface with all levels of the organization, clients, and vendors
- Willingness to learn and adapt to new responsibilities in a fast paced fast-paced environment
- Related licensing experience within the entertainment industry
- Experience with licensing and work-for-hire agreements
- Ability to research legal matters quickly and accurately
- Knowledge of domestic and international publishing and copyright issues
- Knowledge of PRO issues and foreign PRO issues performing rights and other publishing related publishing-related collection societies.
- High levels of integrity and honesty
- Ability to adhere to deadlines and execute on tasks and handle multiple, diverse assignments
- Strong time management skills
- Must be able to commute to our Miami Beach office
