Job Description:A Boutique Family Office and Private Wealth Management Firm is seeking a highly motivated and experienced Director, Associate General Counsel to join our in-house legal team. This individual will play a key role in advising and supporting the firm's private funds, investment advisory, wealth management and family office operations. The ideal candidate is practical, collaborative, and comfortable working in a fast-paced, entrepreneurial environment.
Key Responsibilities:
- Serve as a strategic legal partner to business units across the firm, helping to identify and mitigate legal and regulatory risks.
- Advise on all aspects of private fund formation and manage the legal process of capital raising activities.
- Provide practical guidance on legal and regulatory matters affecting the firm and the private funds it manages, including the Investment Advisers Act of 1940, Securities Act of 1933, and Investment Company Act of 1940.
- Review, draft, and negotiate a wide variety of commercial agreements, including NDAs, vendor contracts, and service agreements.
- Support the firm's wealth manager recruiting efforts, including contract negotiation and guidance on Protocol for Broker Recruiting matters, and acquisition efforts.
- Analyze and communicate the business impact of new and evolving regulatory requirements.
- Manage and coordinate the work of outside counsel.
- Identify and implement legal process improvements to increase efficiency and reduce risk.
Qualifications:
Qualifications
- J.D. from an accredited law school and active membership in good standing with the California Bar (required).
- 3-5+ years of relevant legal experience, including at least 3 years at a top-tier law firm.
- Deep understanding of U.S. securities laws and regulations, particularly as they relate to investment advisers and private funds.
- Proven ability to independently manage complex legal matters while collaborating effectively with cross-functional teams.
- Strong written and verbal communication skills and sound legal judgment.
- Exceptional attention to detail, organizational skills, and the ability to prioritize multiple projects.
- Mature interpersonal skills and a professional, team-oriented mindset.
- Experience with SEC exams or enforcement matters, corporate governance, or employment law is a plus.
