Job Description:Director - Associate General Counsel - Corporate & Strategic Transactions
Get to Know the Role:
A high-performing, execution-oriented attorney responsible for taking ownership of significant corporate legal responsibilities and providing high-quality, practical support for many of the company's core activities. This role focuses on supporting the finance organization and corporate legal team on day-to-day operational matters—including contract drafting, subsidiary management, and process development—while driving critical initiatives across SEC reporting and disclosure, M&A work, capital markets activities, financing matters, and strategic partnerships. This is an exceptional opportunity for a strong, business-oriented attorney to operate close to the business, build deep expertise in public company operations, and lead high-functioning, cross-functional teams on pivotal corporate milestones.
What You'll Do:
Support Finance & Corporate Operations
- Partner with the finance team on day-to-day legal needs, operational initiatives, and process improvement efforts.
- Serve as the go-to legal resource for practical, timely guidance and execution of recurring work.
- Draft and negotiate sell-off and liquidation agreements, intercompany agreements, and routine commercial and corporate contracts for the finance team.
- Oversee entity formation and dissolution, subsidiary governance and recordkeeping, and annual filings and compliance.
- Elevate partnership with external service providers while maintaining internal ownership.
- Assist in preparation and review of quarterly, annual, and special public filings and all related public disclosures.
- Ensure disclosures are accurate, clear, and aligned with business strategy and consistent across filings, earnings materials, and investor communications.
- Partner with finance and investor relations to pressure-test messaging and anticipate investor and analyst scrutiny.
Support the Chief Legal Officer and Corporate Secretary in board and committee materials, governance policies and practices, and director onboarding and education.

- Serve as internal legal lead on M&A transactions, strategic partnerships, investments, and joint ventures.
- Advise on debt and equity transactions,credit agreements, and financing arrangements.
- Partner with finance team to structure transactions and evaluate risk and disclosure implications.
- Manage outside counsel efficiently while maintaining internal ownership of key legal decisions and translate legal complexity into business clarity.
What you bring:
- Juris Doctor (JD) from an accredited law school and active bar membership in good standing.
- 5–8 years of law experience (top-tier law firm and/or public company in-house preferred).
- Strong background in SEC reporting, public company governance, and M&A/strategic transactions.
- Proven ability to partner with corporate finance and translate complex legal risks into business solutions.
- Exceptional drafting, negotiation, and process-building skills with high attention to detail.
- High-ownership, low-ego collaborator comfortable handling both routine operations and complex deals.
