Join the A Cloud-Based Data-Warehousing Company team.We're looking for a Director, Assistant General Counsel - Corporate and Securities to join A Cloud-Based Data-Warehousing Company's Corporate Legal team. This role reports to the VP, Deputy General Counsel - Corporate, Trust, and Employment and is based in Dublin, CA. This is an in-person role.
Responsibilities:
- Primary role in the preparation and review of SEC filings and related documents, including current and periodic reports, proxy statements, registration statements and Section 16 filings.
- Responsible for corporate governance matters, including materials for board and committee meetings, resolutions, and minutes.
- Manage board-level policies
- Work closely with Investor Relations with respect to earnings releases and investor communications
- Manage equity granted in connection with M&A transactions
- Help administer our global employee equity program
- Provide legal advice and support on other transactions and corporate maintenance activities of the company.
- Help to develop, implement and continually improve company and team processes and procedures.
Minimum Requirements:
- JD from an accredited law school, membership in at least one state bar, and ability to practice in California.
- 8+ years of experience preferred, including at least 4 years of corporate and securities work at a major law firm and in-house experience at a public company
- Excellent management skills and business judgment with a capacity to make decisions and give advice.
- Ability to explain complicated concepts in simple terms.
- Strong organizational skills, flexibility, and ability to thrive in a fast-paced environment.
- Attitude that no project is too big or too small.
- Sense of humor and passion for the job
