About The Role & Team
The Digital Asset Counsel will provide expert legal counsel on matters related to digital assets, blockchain technology, and tokenization initiatives. This role will involve navigating complex regulatory landscapes, drafting and reviewing contracts, and advising on compliance with federal and state laws. The ideal candidate is a proactive problem-solver with deep knowledge of cryptocurrency regulations, blockchain technology, and tokenized asset frameworks, coupled with a passion for innovation in the fintech industry. 

In this role, you will:
  • Advise on compliance with U.S. federal and state regulations, including SEC, CFTC, FinCEN, and state money transmitter laws, as they pertain to cryptocurrencies, blockchain, and tokenization.
  • Provide strategic legal guidance on the development, issuance, and trading of digital assets, including tokenized securities, utility tokens, and stablecoins.
  • Identify and mitigate legal risks associated with blockchain projects, decentralized finance (DeFi), and tokenization initiatives.
  • Develop and implement internal policies and procedures to ensure compliance with anti-money laundering (AML), know-your-customer (KYC), and other regulatory requirements.
  • Work closely with product development, engineering, and business teams to ensure legal considerations are integrated into new products and services.
  • Stay abreast of evolving laws, regulations, and industry trends in the cryptocurrency and blockchain space, providing proactive recommendations to leadership.
  • Conduct training sessions for internal teams on legal and regulatory considerations in the crypto and blockchain space.

The Skills You Bring
  • Juris Doctor (JD) degree from an accredited law school.
  • Active membership in good standing with the Florida Bar or eligibility to practice in Florida.
  • Minimum of 3-5 years of legal experience, with at least 2 years focused on cryptocurrency, blockchain, or fintech-related matters.
  • Proven experience navigating U.S. securities laws, commodities regulations, and financial regulations (e.g., Bank Secrecy Act, Patriot Act).
  • Strong understanding of blockchain technology, smart contracts, decentralized finance (DeFi), and tokenization principles.
  • Exceptional analytical and problem-solving skills.
  • Strong drafting, negotiation, and communication skills.
  • An ability to explain complex legal and technical concepts to non-legal stakeholders.
  • A detail-oriented mindset with a proactive approach to managing legal risks.

What makes you stand out:
  • Experience with tokenized securities or real-world asset (RWA) tokenization.
  • Familiarity with global cryptocurrency regulations (e.g., EU MiCA, FATF guidelines).
  • Prior work with fintech startups or blockchain-focused companies.
