Description:

The WSP USA Deputy General Counsel (DCG) for Power leads the delivery of legal services to the WSP USA Power business and provides further support to alternative delivery and climate resiliency as determined by the WSP USA General Counsel. The DCG will provide legal and risk management support addressing sales and operational challenges, including project pursuits, contract negotiations, bid protests, project delivery support, subcontractor issues, claims and litigation management, corporate compliance, risk management, and internal training and education. The DGC serves as legal advisor to the National Business Line leader for Power and associated business line and regional management; and collaborates with the WSP USA legal team. The position reports directly to the WSP USA General Counsel and is a member of the WSP USA Legal Leadership Team.

Specific duties and responsibilities of the position shall include, but not be limited to the following:
  • Serve as the principal lawyer for the WSP USA Power business providing legal advice and counsel to the assigned business consistent with WSP's policies
  • Provide support to alternative delivery and resiliency as determined by the WSP USA General Counsel
  • Work to protect the company's legal interests and help to maintain its operations within the scope established by law for the assigned Region and for the organization as a whole
  • Serve as the interface between business leadership and the WSP USA Legal team, aligning resources with needs as required
  • Provide guidance on risk management and adherence to WSP policies
  • Act in an advisory capacity to project teams, making recommendations that will have a bearing on the conduct of the organization's business
  • Review, draft, and negotiate contracts, subcontracts and other legal documents relating to the services provided by the company to clients in the public and private sectors, including documents related to teaming arrangements, joint ventures, confidentiality agreements, licenses, purchase and sales agreements, insurance, and other similar matters
  • Determine, develop, and implement internal organization, operating policies and guidelines, training needs, and improvements in work processes and procedures; communicate policies and priorities.

  • Manage and support the management of litigation and dispute resolution-related activities in the assigned business; work with management and staff to resolve pre-litigation disputes and potential claims; supervise and manage outside counsel retained by the company consistent with WSP guidelines
  • Conduct or support investigations independently or in conjunction with the WSP Ethics & Compliance Team

Minimum Requirements:
  • Juris Doctorate degree from a law school approved for accreditation by the American Bar Association or equivalent education outside the US, a member in good standing of the Bar of the supreme court of the state in which he or she practices law
  • A minimum of 18 years of legal practice experience in a relevant area, having attained a senior position of responsibility in a firm, a corporation, a government agency, or other organization comparable to WSP USA. A minimum of 10 years of experience as inhouse counsel (or similar) of an entity in the Architecture/Engineering or Construction industry is also required
  • Experience with the professional services industry, government contracts and intellectual property including exposure to construction and engineering contracts and disputes
  • An undergraduate degree in engineering or related field will be favorably considered
  • A record of exercising excellent judgment on behalf of clients, including large and complex organizations and issues

  • Excellent written and oral communications skills in public and private settings with diverse audiences; ability to translate complex legal issues for a lay audience and experience communicating complex legal issues to senior executives is preferred
  • Strong leadership and interpersonal skills, able to collaborate with a diverse population, and ability to relate well with multiple stakeholders in the corporate organization
  • Experience in collaborating with and supervising the work of other lawyers and legal professionals on a national and global basis
