Our culture emphasizes a “bring-it-on” attitude, quick action with intent, problem solving with expertise, and personal accountability.Core Specialty is looking for a Deputy General Counsel focused on merger and acquisition activities and third-party procurement contracts to directly support Core Specialty's businesses to ensure the continued success of the organization and to build for the growth that is expected in the future. This Deputy General Counsel role is an exciting opportunity for a high performer with advanced, sophisticated skills and an entrepreneurial spirit to make meaningful, high-visibility impacts across the organization. An attorney who appreciates and prefers a collaborative, teamwork-oriented approach to the practice of law will be the ideal candidate for this position, which reports to the General Counsel of Core Specialty.
Key Accountabilities/Deliverables:
- Partner with corporate development and executive leadership to evaluate acquisition, divestiture, and strategic investment opportunities.
- Advise on legal structuring of transactions (i.e., stock versus asset deals, reinsurance transactions, renewal rights deals, managing general agency acquisitions).
- Conduct preliminary risk assessments, including regulatory feasibility and jurisdictional considerations.
- Support board and committee materials regarding proposed transactions and strategic alternatives.
- Lead or co-lead negotiation and drafting of transaction documents, including oversight of outside counsel support, as applicable.
- Partner with regulatory counsel with respect to transaction approval strategy and execution.
- Advise on antitrust considerations and coordinate engagement of antitrust counsel as needed.
- Partner with Compliance to ensure compliance with state-by-state licensing rate and form requirements post-closing.
- Partner with Business leaders to assist with all legal integration-related activities as needed.
- Partner with Procurement, IT, Finance, and business leaders to support efficient contracting processes, manage risk, and ensure alignment with company policies and risk tolerance.
- Serve as lead counsel for corporate and commercial contracting matters, drafting, reviewing, and negotiating a broad range of agreements, including service, technology, consulting, vendor, confidentiality, real estate, and strategic partnership agreements.
- Identify, assess, and mitigate legal and contractual risks associated with corporate operations and third‑party relationships.
Technical Knowledge and Understanding:
- Experience and understanding of a variety of M&A-related matters, transaction structures, and risk evaluation strategies.
- Understanding of drafting and negotiating a broad array of contracts, including, but not limited to, third-party vendor and IT-specific vendor agreements.
- An understanding of the compliance needs of the business, with a balanced approach that weighs the costs of compliance.
- A broad understanding of legal matters that affect Core Specialty, using subject matter experts to provide targeted advice.
Experience:
- Juris Doctor from accredited law school and active law license in good standing required.
- 10+ years legal experience preferred.
- Ability to lead in ways that mitigate risk to the company but also gives the business the flexibility to stretch and grow.
- Comfort with, or expertise in transactional and contract matters.
- Previous experience in the financial services or insurance industry preferred but not required.
