This includes assisting the General Counsel and Corporate Secretary as the primary legal advisor to the Board of Directors, the CEO, and the Executive Leadership Team.

Responsibilities
Focus areas will include assisting with:
  • Public company 1934 Act SEC disclosure reports (8-Ks, 10-Qs, 10-Ks) + Section 16 compliance; Nasdaq listing compliance;
  • Annual Proxy Statement and Annual Meeting of Shareholders;
  • Investor relations and corporate communications, including in the area of ESG;
  • Mergers and acquisitions, the negotiation and preparation of associated agreements, and the preparation of applications required to secure regulatory approvals;
  • Preparation of Board of Directors and Committees of the Board meeting agendas, materials, and minutes;
  • Review and maintenance of Board level Corporate Governance policies (e.g., Insider Trading Policy) and Board charters;
  • Drafting and review of management committee charters and minutes and management programs and frameworks;
  • Executive Compensation and Equity Plans;
  • Employment law;
  • Efficient management of outside counsel and, when appropriate, reduction of corporate legal and/or loan workout outside counsel expense;
  • Risk management and regulatory compliance activities consistent with a bank over the $20 Billion asset threshold;
  • General legal advice regarding compliance with federal, state, and local laws, including banking laws;
  • Assistance with contract negotiation and third party risk management;
  • Assistance with oversight of litigation/claims, including supervision of outside litigation counsel;
  • Assistance with subpoenas, levies, etc.; and,
  • Such other duties and responsibilities as may reasonably be required.

Qualifications
Knowledge, Background, and Experience
  • Required: J.D. Degree, at least 10-12 years of prior law firm and/or in-house legal department experience, superior writing and communication skills. Experience with public company SEC disclosures and filings, M&A, corporate governance, corporate secretary, and general corporate work.
  • Desired: Banking law and regulation, contracts/third-party vendor management, commercial lending and loan documentation, employment law.
