What We Need:
The Deputy General Counsel is a senior-level leader that serves as the company's lead corporate, securities, and governance attorney and a key member of the Legal Leadership Team. This role partners directly with the General Counsel, executive leadership, cross-functional corporate departments, and international business teams to manage public company compliance, strategic transactions, and enterprise governance across a complex multinational organization. The role also serves as a strategic advisor to the Board of Directors and senior management on disclosure, governance, capital markets, and related enterprise risk matters.

What You'll Do:
  • Advise on SEC and NYSE reporting requirements, including Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 filings.
  • Lead preparation and review of public disclosures, earnings releases, investor communications, and sustainability reporting.
  • Support the Disclosure Committee and enhance disclosure controls and reporting processes.
  • Partner with the corporate secretary and Board on governance matters, including meetings, materials, policies, and shareholder engagement.
  • Advise senior leadership and the Board on governance trends, fiduciary duties, and regulatory developments.
  • Provide legal support for debt financings, capital markets transactions, intercompany activities, and treasury matters.
  • Lead or support mergers, acquisitions, reorganizations, and other strategic transactions.
  • Oversee global subsidiary governance and legal entity management.
  • Support corporate compliance programs, including insider trading, sanctions, and anti-corruption initiatives.
  • Provide legal guidance on emerging risks, including regulatory and sustainability-related matters.
  • Advise business leaders on legal implications of strategic and operational decisions.
  • Draft, review, and negotiate legal documents and manage outside counsel.
  • Lead cross-functional collaboration and drive process improvements within the legal function.
  • Mentor legal team members and support overall legal department operations.
  • Performs other duties as needed.

What You Have:
  • Bachelor's degree in a related field or equivalent education and/or experience.
  • 12+ years relevant experience or equivalent education and/or experience.
  • 7+ years of management experience.
  • JD degree and active bar membership preferred.
  • Licensed to practice law preferred

What You're Good At:
  • Broad commercial legal experience required, with particular focus in commercial transactions (including real estate), employment law and litigation management.
  • Thorough understanding of current federal, state and possibly international regulatory requirements affecting public corporations to include SEC, FASB, SOX, ERISA, EEO, HIPPA, OSHA, ADA and all other laws and regulations.
  • Demonstrated experience in the ability to manage internal and contract counsel effectively.
  • Ability to draft, negotiate and facilitate a wide range of commercial transactions, including complex commercial agreements, purchase and supply agreements, sales and distribution agreements, real estate leases, intellectual property licenses, etc.
  • Demonstrated experience advising senior executives, boards of directors, and board committees.
  • Proven ability to lead complex cross-functional initiatives and manage competing priorities in a global organization.
  • Strong business acumen and understanding of corporate operations and financial structures.
  • Able to delegate work effectively to team members; ensures tasks are completed without micromanaging.
  • Focused on and responsible for their team's productivity and collective impact.
  • Excellent communication, problem solving, and organizational skills.
  • Able to multitask, prioritize, delegate, and manage time effectively.
  • High level of integrity and discretion in handling sensitive and confidential people data.
  • Proficient using Microsoft Suite of products.
  • Flexible attitude, adaptable to change, team player and able to handle multiple projects at once.
  • High degree of professionalism, judgment, maturity, and resourcefulness in the absence of formalized guidelines and procedures.
