What will you be doing?
Reporting directly to the Company's Chief Legal Officer, you are a leader of leaders and have significant visibility into the organization. You will leverage both the breadth and depth of experience at a law firm and as in-house counsel and help A Media Company maintain a nimble, innovative legal organization tasked with tackling the complex legal challenges that confront our business. By navigating legal complexities across Finance and Accounting, Tax, Strategy, Corporate Development and other key functions, you'll play a critical role in A Media Company's future.

This is a highly visible role in a fast-paced, professional and collaborative organization. The ideal candidate will be comfortable interacting regularly with executive management and the Board of Directors and working across the Company to achieve results and advance A Media Company's strategic priorities. Job Responsibilities:
  • Leadership and Management
    • Being a culture carrier. This highly visible role will interact with employees across the organization. It is imperative that this role seeks opportunities to teach, learn and contribute to the growth of our employees.
    • Champion the Legal team's expertise and build partnerships with the Legal team across A Media Company.
    • Team management and development. Ability to inspire and energize members of the legal team and empower each member to do their best work.
    • Org development. Scale the corporate and securities function through process automation, legal technology and new ways of working.
    • Take ownership and accountability for key projects and decisions and see them through — ensuring the appropriate stakeholders are engaged and providing follow through and iteration.
    • Reporting and metrics. Deliver data-driven reporting that informs senior leaders on progress and effectiveness of initiatives.
  • Functional Responsibilities
    • Develop and provide advice regarding securities law disclosure/compliance.
    • Provide securities law advice and compliance guidance for investor materials, management presentations and other communications.
    • Provide legal support to Board of Directors and Board Committees, which includes advising on substantive legal matters; developing meeting agendas, and preparing materials for Board/Committee meetings.
    • Provide legal support on equity and debt financings.
    • Provide legal advice and counseling with respect to equity-based compensation plans and executive compensation matters.
    • Coordinate training on, and the compliance processes for, various corporate policies, including securities trading and Regulation FD.
    • Advise on other legal matters that arise across various functions within A Media Company.

Requirements:
  • 15+ years of total legal experience at a top tier law firm and large in-house legal department.
  • Broad corporate legal experience leading teams and managing corporate governance, securities law compliance, and M&A matters.
  • Experience advising board of directors and senior executives regarding governance and securities issues.
  • Proven track record of providing thoughtful, outside-the-box legal and strategic guidance to an executive team.
  • Experience forging relationships and advising leaders and key stakeholders across large-scale, global companies.
  • Proven record of developing, managing, motivating, and leading a diverse, high-performing team.
  • Proven attention to detail with organizational skills.
  • As comfortable with hands-on execution in detail as in developing big-picture strategies.
  • Strong communication skills that translate complex topics into easily digestible content.
  • Direct, action-oriented approaches to solving problems.
  • The ability to thrive in a fast-changing environment.
  • A team-oriented mentality, humility, and a healthy sense of humor.
  • Experience within the technology industry is desirable.
  • D. (or foreign equivalent) with membership in at least one U.S. state bar.
