Position Overview:Counsel will provide legal advice and support in relation to a range of matters affecting FUJIFILM Holdings America Corporation and its affiliated global CDMO business, FUJIFILM Biotechnologies, with US locations in North Carolina and Texas.

Job Description:
Responsibilities:
- Commercial and Program Management support: Counsel will be able to (i) lead the legal review, drafting and negotiation of all types of commercial agreements (for example master services agreements; scopes of work; supply agreements; IP licenses and CDAs) including those relating to strategic and high profile customer collaborations (ii) work with FLBG's patent counsel or agent on IP matters affecting commercial agreements; and (iii) identify and advise on associated commercial and quality issues arising out of commercial agreements; in each case identifying the need for assistance from, and managing, subject matter experts when required. Counsel will be able to act independently with escalation of issues to Senior Counsel, regional Legal Directors, compliance, and business management, when required.
- Risk Management: Counsel will be able to identify legal and business risks (in the legal context) and develop strategies and solutions to enable the business to resolve and/or mitigate those risks.
- Management briefing: Counsel will be able to brief, and advise, business colleagues and management on legal issues.
- Precedent documentation: Counsel will assist with maintaining/growing the existing bank of precedent legal documents for use in the business and be able to provide training to the business on the use of those documents. Counsel will be cognizant of the fact that precedents may be implemented across the whole of the FUJIFILM Biotechnologies group (not just in the US) and take all steps necessary to ensure fitness for purpose.
- Compliance: Counsel may assist with legal compliance issues and may assist with roll out of compliance policy and training.
- Policy and Guidance: Counsel will assist with the implementation of business processes, policies and guidance; legal projects and roll out of associated legal training/mentoring to the business.
- Ancillary legal support: Counsel will assist with providing support to business functions such as HR, EHS and Capital Projects, including identifying the need for assistance from, and managing, expert assistance when required.
- FUJIFILM Biotechnologies Affiliates: Counsel will be able to work with business, legal and compliance colleagues in FUJIFILM Biotechnologies affiliates outside the US to help achieve FUJIFILM Biotechnologies global objectives.
- Governance: Counsel will provide legal guidance to ensure compliance with Fujifilm-wide governance standards and ensure adherence to all required legal processes and governance protocols.
Expectations/Standards of Performance
- Within 3-6 Months:
- Counsel will be able to independently engage with business teams and negotiate the necessary contracts, as required.
- Counsel will assist with growing the existing bank of precedent legal documents for use by the business teams and project teams and be able to provide training on use of those documents.
- Counsel will be able to work with the broader, global FUJIFILM Biotechnologies Legal Department and Compliance Team colleagues to help achieve FUJIFILM Biotechnologies global objectives and obtain specific subject matter support (e.g., corporate, HR, IP), as necessary.
Required Experience / Education
- College degree and juris doctorate from accredited law school. Academic honors are preferred.
- Admittance in good standing to at least one state bar.
- 5-8 years of relevant experience in-house, or a combination of in-house and law firm experience, preferably for CDMO/Life Sciences companies
- Solid commercial contract background with extensive drafting and negotiating experience.
- Knowledge of legal practices, including regulations affecting Life Sciences/Pharma companies (e.g. drug approval regulations) is a plus
