We're currently looking for a Senior Counsel, Corporate and Transactions to join our team at the Nissan North America Headquarters in Franklin, TN.

Experienced attorney needed to provide legal counsel to in-house clients on a variety of procurement, production, general commercial, technology, and real estate transactions. Commercial: Responsibilities include drafting and negotiating a wide variety of commercial agreements (including procurement, production, logistics, and R&D agreements) and advising clients on commercial obligations & disputes. Transactional work may include M&A, JV, financial transactions and other complex project work, including international transactions. Real estate: Preferable if candidate has a least some experience drafting and negotiating leases, subleases, real estate purchase and sale agreements, deeds, easements, & letters of intent; construction and architect agreements; and federal & state grant/financing agreements for real estate projects.

Must be a solution-oriented team player committed to helping clients achieve business objectives and capable of working with minimal supervision in a dynamic, cross-functional/cross-cultural business environment.

Job functions Include but are not limited to:
  • Lead the drafting and negotiation of a variety of commercial agreements, including especially procurement, production, development, and technology agreements.
  • Advise internal clients on the evaluation, planning & implementation of commercial transactions.
  • Collaborate with fellow attorneys, paralegals, support staff, and clients on projects, including representatives from the Company's global business & legal departments.
  • Help clients achieve business objectives by providing legal advice on risk related to their projects and proposals.
  • Develop and present training programs to help reduce risk and improve efficiencies in the Company's business practices.
  • Select, retain, and manage outside counsel to support larger transactions, and ensure adherence to legal budgets. Interface with corporate & regional management, outside counsel, opposing counsel, state and federal regulators, industry experts, and industry counsel on transactions & Company initiatives.

Minimum Qualifications:
  • Experience: A minimum of seven years legal experience, including experience in relevant practice area.
  • Supervisory Experience: Two or more years providing on-the-job training to new employees, but had no other formal supervisory responsibilities.
  • Education: J.D. degree from ABA accredited law school; member of bar in state of practice.
  • Computer Skills: Knowledge of on-line legal research tools. Working knowledge of word processor, spreadsheet, other PC applications, or mainframe applications to produce non-standard, creative products.
