Responsibilities:
As Counsel – Real Estate, you will play a pivotal role in supporting Hines' real estate operations across the Americas. You'll join a dynamic, collaborative legal team and work closely with firmwide leadership and market-based development professionals. This is an opportunity to engage in high-impact transactions, manage outside counsel, and help drive the success of a world-class real estate platform. Responsibilities include, but are not limited to:
  • Transactional Leadership: Draft, analyze, and negotiate a wide range of commercial agreements, including development management, license, and service agreements.
  • Deal Execution: Oversee and coordinate outside counsel in the drafting and negotiation of purchase and sale agreements, including managing checklists, title and survey review, and facilitating closings.
  • Financing Expertise: Manage outside counsel in the negotiation of loan agreements, including review of guaranties, SNDAs, and other loan-related documents.
  • Risk Management: Analyze and advise on indemnity clauses, guarantees, and other contractual provisions to protect the company's interests.
  • Vendor & Broker Agreements: Review and negotiate vendor contracts, broker listing agreements, non-disclosure agreements, and other real estate-related documents.

Qualifications:
Minimum requirements include:
  • J.D. degree from an accredited, top-tier U.S. law school.
  • Five or more years of relevant legal experience in real estate transactions; experience with real estate financing is strongly preferred.
  • Licensed to practice law in the state of Texas
  • Demonstrated success in a law firm or sophisticated in-house legal environment.
  • Highly confident, articulate, and self-motivated team player.
  • Proven ability to proactively identify issues, develop practical solutions, and resolve complex challenges in real estate matters.
  • Exceptional written and oral communication skills.
  • Ability to thrive in a fast-paced environment and manage multiple, time-sensitive projects with a high degree of independence.
