Boise Cascade is looking to hire Counsel or Senior Counsel, depending on experience, to join the Corporate Legal team. This successful candidate will likely have a high level of expertise and autonomy to handle complex legal matters and advise on business decisions. This position will handle a wide range of legal and risk matters, including contract review and negotiation, regulatory compliance and risk management, as well as liaise between Boise Cascade leadership and external vendors, with a focus on vendor contracts in the technology and privacy areas. The successful candidate will be based out of the corporate HQ building in Boise, ID. The role is in-office at least four days per week. Travel may be required occasionally to locations across North America.

Responsibilities:
  • Provide legal counsel and other services to clients within the corporation under general supervision of the General Counsel and/or an Associate General Counsel.
  • Contract Review and Negotiation: Draft, review, and negotiate a variety of agreements (e.g., vendor and customer contracts, service agreements, NDAs, and licensing), with a focus on privacy, technology transactions and emerging technologies, including AI.
  • Regulatory Compliance and Risk Management: Advise internal stakeholders on legal risks and obligations (including cybersecurity and privacy issues), and business strategies to ensure compliance with local, state, and federal regulations. Proactively assess the business interruption, legal and liability implications of business decisions and ensure key stakeholders understand associated risks and mitigation strategies.
  • Due Diligence Review: Assist in real estate and M&A transactions, including due diligence, transaction documents, and integration efforts. May lead individual areas of due diligence.
  • Legal Liaison: Coordinate and manage outside counsel on specialized legal matters as needed. Partner with cross-functional teams (IT, Privacy & Compliance, Finance, HR, Operations, Marketing) to support business objectives and mitigate risk.
  • Intellectual Property Management: Assist in the protection of Boise Cascade's intellectual property, including but not limited to trademarks, patents, copyrights, and trade secrets.
  • Crisis Management: Legal advisor on data protection and incident response, coordinating with internal partners, regulatory bodies and external counsel as needed.
  • Policy Development: Support the development and implementation of internal policies, training, and processes. Draft, review, and maintain internal policies and procedures to mitigate risk and ensure compliance with applicable laws and regulations.
  • Legal Research and Training: Monitor and ensure compliance with applicable laws and regulations across relevant jurisdictions.
  • Internal Support: Serves on departmental and corporate committees and task forces.

Qualifications:
  • Graduate of ABA accredited law school
  • Member of a state Bar Association
  • Excellent verbal, written communication, and interpersonal skills
  • Strong business acumen with a practical, solution-oriented approach to legal issues
  • Ability to manage multiple priorities in a fast-paced environment
  • Extensive experience in contracts, risk management, and regulatory compliance with an understanding of financial implications of legal decisions
  • Requires the application of sound professional skill and judgment, a broad knowledge of company operations, policies and procedures, the ability to properly analyze legal, business and practical issues
  • Considerable legal experience in a specialized area of the law, including commercial negotiations and transactions
  • 5+ years' experience in a law firm or in-house setting
  • High level of ethical and professional conduct
