The Counsel, IT & Data Law advises on matters of cybersecurity, data, and artificial intelligence (AI) law. Reporting to and supporting the VP, Associate General Counsel for IT & Data Law, you will serve as a key legal resource supporting the hands-on legal effort for the enterprise‑wide Microsoft 365 (M365) G5 deployment, including the substantial business‑process, governance, and policy changes associated with M365 G5 implementation—such as data loss prevention (DLP) rules, records‑retention modernization, and related cross‑functional process redesign. You will also support the IT and Supply Chain organizations regarding the licensing and procurement of software, cloud services, and IT hardware, filling a critical resource gap in the IT and Data law team's expanding day-to-day workload, where current resources are no longer sufficient to support ongoing IT procurement and transactional demands.

Pay Information
Full-Time Salary Range: $153377 - $260743
Please note: This range is based on our market pay structures. However, individual salaries are determined by a variety of factors including, but not limited to: business considerations, local market conditions, and internal equity, as well as candidate qualifications, such as skills, education, and experience.

- Partner with the BAE Systems internal M365 team to facilitate G5 implementation from a compliance perspective, providing the tactical legal analysis necessary to enable strategic decision-making for rapid enterprise adoption.
- Perform the hands-on legal work to align enhanced data governance, retention, classification, and information protection capabilities within M365 G5 with applicable legal mandates and corporate policy requirements.
- Support the development of governance frameworks for AI application deployment to protect proprietary data and intellectual property while ensuring adherence to export controls.
- Facilitate stakeholder engagement and change management activities to support integration of M365 G5 and AI tools across business units.
- Develop training and guidance for legal and business stakeholders to increase operational efficiency through M365 G5 ecosystem tools.
- Monitor the evolving landscape of software, cloud, and AI law to ensure BAE Systems remains compliant and competitive.
- Draft, review, and negotiate complex technology agreements, including software licenses, cloud service agreements, AI-specific contracts, and IT hardware procurement.
- Execute the legal strategy for enterprise-wide software licensing and cloud services agreements to mitigate risk and ensure favorable commercial terms.
- Assist in the development and implementation of standardized terms and conditions for the procurement of Artificial Intelligence (AI) tools.
- Collaborate with the IT organization and Supply Chain to optimize and streamline the IT acquisition lifecycle.
- Provide transactional legal support necessary to sustain daily IT and Data Law operations while managing enterprise-level M365 licensing and configuration procurement.
- Provide targeted legal analysis and guidance on the intersection of software licensing, cloud architecture, and data controls.
- Develop and maintain internal policies and guidance documents regarding the acceptable use of AI and data handling within cloud environments.
- Advise stakeholders on the legal safeguards necessary to prevent data misuse, leakage, or unauthorized exploitation by cloud and AI vendors during cloud migrations and digital transformation initiatives.
- Draft the detailed legal requirements for M365-driven business process changes – including DLP workflows and records retention practices – to ensure alignment with enterprise policies with new M365 capabilities.
- Verify that all IT procurement efforts align with corporate governance and federal government contracting requirements (FAR/DFARS).
- Participate in IT strategic planning sessions to provide real-time legal analysis on emerging technology initiatives and procurement roadmaps.
Required Education, Experience, & Skills:
- Juris Doctor (JD) degree from an accredited law school and active membership in good standing with a state bar.
- Minimum five (5) years' experience as a licensed attorney.
- Proven experience practicing law with a focus on technology transactions, IT procurement, or data governance.
- Strong proficiency in interpreting and negotiating Enterprise Agreements (EA) and Cloud Service Provider (CSP) terms.
- Experience drafting AI governance frameworks or managing the legal risks associated with Large Language Models (LLMs).
- Advanced proficiency with the Microsoft 365 suite and an understanding of its enterprise capabilities. Direct experience supporting enterprise-wide M365 deployments — specifically providing legal guidance on governance, retention, DLP, and business process transformation — Is strongly preferred.
- Proven track record of collaborating with IT departments to implement technology solutions and optimize operational processes.
- Working knowledge of change management principles to facilitate the seamless implementation of new legal processes and technologies.
- Ability to operate effectively under senior legal leadership, translating high-level strategic direction into actionable legal work products and guidance for cross-functional teams while managing competing priorities in a fast-paced environment.
Preferred Education, Experience, & Skills
- Experience as in-house counsel
- Experience in the aerospace and defense industry
- Project management certification or professional experience.
- Knowledge of privacy frameworks (e.g., GDPR, CCRA, CPRA) as applied to vendor data processing and cloud security.
- Experience supporting senior executive leadership in a corporate legal environment.
