Job Description:Ameriprise Financial is looking to add a Counsel to the team! The individual in this position will primarily be responsible for a wide range of corporate development duties and will also support the broader work of the Securities and Corporate Law team.
Responsibilities:
- Lead legal support to our wealth management business's acquisition program for advisors leaving the industry and seeking to sell their advisor practice (including diligence, drafting, counseling and negotiating all legal aspects of these transactions).
- Provide legal support for advisor installment loan program (including advising on program structure, updating form loan agreements, counseling on unique situations, and advising on loan securitizations or warehouse facilities).
- Provide legal support for deals to transition advisor businesses of banks and credit unions to Ameriprise (including drafting bid letters and transition documents).
- Provide legal support for other capital solutions to advisors (including diligence, bid letters, drafting and negotiating transaction documents, and coordination with outside counsel).
- Provide support on all aspects of M&A and corporate development across all business lines and geographies (including performing and coordinating diligence, drafting bid letters and indications of interest, drafting and negotiating various transaction documents, deal project management with subject matter experts, coordination with outside counsel, post-closing and integration / separation support on transactions and additional research and analysis in support of M&A and corporate development).
- May support corporate finance and treasury transactions (such as debt offerings).
- May assist group in aspects of public company disclosure work - peer research, drafting and other research and analysis.
- May provide corporate governance support.
- Tracking relevant regulatory change.
Required Qualifications:
- J.D.
- 3-5 years of relevant experience.
- Admission to MN State Bar (or to appropriate state bar given location); maintain good standing.
- Previous in-house experience (or relevant experience in private practice) in providing practical advice to business partners.
- Experience performing functions that require drafting of deliverables, information analysis, and coordination of inputs and resources.
- Make decisions quickly and appropriately using expertise, recognizing high demands of business partners.
- Demonstrate accuracy, thoroughness, and thoughtfulness in legal analysis and recommendations delivered both verbally and in writing.
- Client service focused.
- Ability to collaborate effectively across the GCO and enterprise, while working respectfully with colleagues and driving results.

Base Pay Salary
The estimated base salary for this role is $122,400-$168,300/year. We have a pay-for-performance compensation philosophy. Your initial total compensation may vary based on job-related knowledge, skills, experience, and geographical work location. In addition, most of our roles are eligible for variable pay in the form of bonus, commissions, and/or long-term incentives depending on the role.
