Job Overview:
Reporting to A Grocery Industry Leader Senior Counsel, Corporate & Strategic Transactions, this position will support the Corporate & Strategic Transactions and Security & Governance Teams within the A Grocery Industry Leader Legal Department by drafting, reviewing, and negotiating commercial/vendor agreements supporting A Grocery Industry Leader business operations, as well as assisting with securities and corporate governance matters.

Job Responsibilities:
Core Responsibilities:
  • 50% - Draft, review and negotiate commercial/vendor agreements in support of A Grocery Industry Leader business operations, including service agreements, supply agreements, IT agreements, and associated amendments and statements of work. Proactively assist business with contract interpretation, disputes, and process improvement initiatives.
  • 30% - Assist with securities and corporate governance matters, including '33 Act and ‘34 Act compliance, preparation of board meeting agendas/materials, maintenance of corporate documents and records, managing the annual D&O questionnaire process and supporting with the annual investor engagement program.
  • 15% - Assist with other legal and compliance matters, including handling disputes and other transactions as needed.
  • 5% - Develop and conduct training to support company contracting practices, policies, and initiatives.

Job Requirements:
Education/ Certifications:
  • J.D. degree or equivalent
  • Membership in good standing with a state bar and the ability to register as in-house counsel pursuant to the applicable state rules.

Experience:
  • Minimum three years of experience in a law firm or corporate legal department, including experience with corporate law and drafting/negotiating commercial contracts.
  • Demonstrated interest in securities and corporate governance. Experience a plus, but not required.
