Description:
Hims & Hers is seeking a Corporate Counsel to join our growing, collaborative Legal team. You will have the opportunity to provide teams from across the company with actionable legal advice on various high-impact corporate transactions and on corporate and securities laws, rules, and regulations applicable to Hims & Hers. You will work on interesting issues that arise from the intersection of healthcare, technology, and e-commerce in the exciting, fast-paced environment of a growing public company.You Will:
- Support the Company's strategic transactions, including M&A, investments, capital markets, and financing transactions, and manage ongoing obligations arising from transaction documentation
- Assist with the Company's SEC filings, including 10-Ks, 10-Qs, applicable risk factors, 8-Ks, proxy statements, Section 16 reporting, and any NYSE submissions
- Support corporate governance matters and entity management, including intercompany transactions, entity reorganizations, and corporate filings
- Advise on investor relations and corporate communications matters, including review of earnings materials, public communications, and internal communications
- Provide practical, actionable, risk-based advice and strategic support to executives, employees, and cross-functional teams on a variety of corporate and securities matters
- Work collaboratively with the accounting, corporate development, finance, tax, people, equity, communications, and other cross-functional teams on a variety of matters
- Collaborate with outside counsel to provide efficient, practical, and business-oriented legal support
- Monitor, track, and advise on potential impacts of new and proposed corporate and securities laws to ensure continued compliance
- Stay up-to-date on governance trends, emerging legal issues, and best practices, and recommend changes to the Company's programs or policies if advisable
- Identify issues that may touch upon privacy, product, employment, litigation, and healthcare regulatory issues and coordinate with subject-matter experts
You Have:
- Juris Doctor from an ABA-accredited law school and current active license to practice law in at least one US jurisdiction
- 4+ years of experience post law school graduation in corporate, securities, and/or M&A at a law firm and/or in-house
- Experience leading and managing strategic transactions, such as capital markets, M&A, or financing transactions, and/or advising on corporate governance matters applicable to public companies
- Experience advising management and stakeholders on legal considerations and risks in connection with corporate transactions or initiatives
- Experience with SEC rules, regulations, and compliance applicable to public companies, including periodic reporting requirements and Regulation FD
- Experience working directly with senior leadership
- Strong record of providing creative, solution-focused advice
- Team-oriented mindset and positive attitude
- Be comfortable in and able to adapt quickly to a dynamic, fast-paced environment, and be able to handle multiple matters simultaneously and prioritize effectively
- Strong project management skills
- Ability to evaluate issues from legal and business perspectives with a practical, business-oriented approach to problem-solving
- Ability to translate complex legal issues into clear advice for business partners
- Ability to develop strong working relationships and to work across functions and teams
- Excellent written, oral, and negotiation communication skills
- Experience in the technology or healthcare industries a plus
- Familiarity with the FDA and other healthcare laws and regulations is a plus
