About the role:
An American Cybersecurity Technology Company is looking for an highly motivated attorney with broad corporate and transactions experience to join our corporate legal team.

What You'll Do:
You will be primarily responsible for working across functions on diverse legal matters such as executing strategic transactions such as mergers and acquisitions, drafting and reviewing SEC filings, supporting stockholder initiatives, assisting with corporate governance matters including supporting and advancing company policies, and owning other diverse projects as required. As Corporate Counsel, you will support the corporate development, finance, investor relations, stock administration, tax, and treasury functions.

This position is open to candidates remotely in the USA.

What You'll Need:
  • J.D. and bar admitted with 4-6 years' relevant experience at a top-tier law firm and/or in-house at a public company.
  • Collaborative team player who welcomes responsibility and thrives in an intense, fast-paced environment.
  • Excellent judgment and integrity, with the ability to handle complex matters in areas of core competency with ability to ask questions to advance projects in other areas.
  • Proficiency in counseling on complex transactions, including M&A from preliminary negotiations through to post-closing integration, and fluency in public company corporate and securities related laws, regulations, rules and trends.
  • Resourceful self-starter who enjoys wearing multiple hats and digging into new and challenging projects, big and small.
  • Strong organizational and interpersonal skills, with the ability to communicate at the right level of nuance with different audiences to progress multi-stakeholder projects.
  • Ability to work varying hours to accommodate global workforce, as needed.

  • Experience counseling high growth private and public technology companies.
  • Experience working on cross-border strategic transactions, entity management and other corporate matters.
  • Experience supporting company environmental, social and governance initiatives.
