Job Description:
We are looking for a talented attorney to join the Toshiba Americas Group (TAG) legal team as a full-time attorney. The position will support TAG legal operations and is based in Houston, Texas.

This position is part of a corporate legal team providing support to multiple businesses located across the United States in a variety of industries.

This attorney will report to TAI-Senior Counsel, support the broader TAG legal team, and work in close relationship with internal clients, often on cross-functional teams when involved in projects.

Responsibilities:
  • Draft, review and negotiate a variety of commercial agreements and other legal documents
  • Advise internal clients of potential risks arising from those agreements
  • Conduct legal research as necessary
  • Other duties as assigned

Preferred Skills and Experience:
  • Extensive experience handling procurement matters, ideally for industrial equipment manufacturer. Able to 1) negotiate Master Supply Agreements with suppliers based on company positions and 2) counsel internal clients on substantive issues related thereto.
  • Extensive experience handling typical sales-side matters, especially drafting and negotiating master supply agreements and agreed terms and conditions with customers, including end users.
  • Experience with reviewing and negotiating non-disclosure agreements.
  • Experience with handling complex customer questionnaires.
  • Experience with drafting internal operational policies and procedures.
  • Experience with handling complex government contracts is a plus.
  • Experience with handling complex construction contracts is also a plus.

Qualifications:
  • J.D. from an ABA-accredited law school and active law license in good standing (Texas bar membership strongly preferred)
  • 5-7 years of experience in a law firm or corporate legal department (at least some in-house experience preferred) with experience in drafting, reviewing, and negotiating commercial agreements (see above for specific preferred skills/experience).
  • Comfortable using Microsoft Word, Excel, PowerPoint. Must be proficient in redlining documents in Word and comfortable with drafting/reviewing contracts electronically.
  • Open to learning different technologies and programs, including AI and IronClad, as appropriate.
  • Able to work with minimal supervision while exhibiting appropriate judgment and discretion when handling assignments and interacting with internal clients. Ability and desire to work independently as a member of a team.
  • Strong attention to detail with appropriate consideration of big-picture concerns.
  • Able to complete substantive amounts of work product in timely manner.
  • Able to turn around consistently accurate and quality work product.
  • Exhibit consistently clear, logical and understandable communication to supervising attorney, legal colleagues and internal clients.
  • Ability to juggle multiple competing priorities without needing a lot of oversight.
  • Strong research and writing skills.
  • Strong interpersonal skills.
