Summary:
The Counsel, Contracts position contributes to the BD Law Group and the Company's success as a member of the Law Group Global Contracting Center of Excellence (COE). The COE is part of the Law Group Transactions Team and supports contracting for Global Procurement activities at BD. Reporting to the Assistant General Counsel and COE Senior Director, the Counsel, Contracts is responsible supporting contracting for assigned procurement categories, and for contributing to the design and implementation of programs to support the COE in the COE's effort to provide effective, efficient and consistent contracting support to Global Procurement and Technology & Global Services (TGS) within a highly regulated manufacturing environment. The Counsel, Contracts will interact with Functional and Law Group leaders, attorneys and other professionals to create contracts and improvements to contracting processes, including templates and playbooks, to meet the operational and functional objectives of the COE and its clients.

Responsibilities:
Reporting to the Assistant General Counsel and COE Senior Director, the Counsel, Contracts is responsible supporting contracting for assigned procurement categories, and for contributing to the design and implementation of programs to support the COE in the COE's effort to provide effective, efficient and consistent contracting support to Global Procurement and Technology & Global Services (TGS) within a highly regulated manufacturing environment. The Counsel, Contracts will interact with Functional and Law Group leaders, attorneys and other professionals to create contracts and improvements to contracting processes, including templates and playbooks, to meet the operational and functional objectives of the COE and its clients.

Key Responsibilities include:
  • Serve as primary contact for internal clients and stakeholders for assigned contracting categories.
  • Prepare and negotiate contracts, amendments, statements of work, and other legal documents reflecting the business needs of stakeholders and clients.
  • Support the development and implementation of the COE objectives and strategies for contracts focused on the delivery of effective and efficient contracting.
  • Assess, advise on, and help mitigate legal and other risks in contracts.
  • Provide advice and support for contract claims and disputes.
  • Assist in the development of key monthly and quarterly business metrics for assigned areas.
  • Complete ad-hoc and special projects as requested/required.
  • Assist in the preparation and periodic updating of contract templates and playbooks.
  • Work closely with and interact directly with and negotiate and manage budgets with outside Law Firms for discrete contracting matters as applicable.
  • Help to drive the Law Group and COE KDGs.
  • Serve as Stakeholder Relationship Manager (SRM) for assigned BD business unit.

Education and Experience Requirements:
  • JD from an ABA approved Law School and admittance to practice in NJ.
  • At least 10 years legal experience, including contract creation/negotiation experience in procurement related contracts such as supply agreements, technology and software agreements, transportation and logistics agreements, and services agreements, in a highly regulated manufacturing environment.
  • Strong negotiation, analytical, oral and written communication skills.
  • Deep knowledge of legal issues in commercial transactions.
  • Ability to prioritize a heavy workload under a tight schedule.
  • Excellent computer skills.
  • Knowledge of contract law, including Uniform Commercial Code, international contract law, etc.
  • Experience with electronic contract management systems, preferably Icertis.
