Dinsmore & Shohl, a prominent national law firm with over 750 attorneys in 31 cities, has an immediate opportunity for a Corporate/SBA Finance Associate in Pittsburgh, PA; Philadelphia, PA; Indianapolis, IN; Lexington, KY; Louisville, KY; Detroit, MI; Cincinnati, OH; Cleveland, OH; Columbus, OH; Dayton, OH; Charleston, WV; Morgantown, WV; or Huntington, WV offices. We are seeking a highly skilled and detail-oriented individual to join our team as an associate in our SBA Lending Services team. The ideal candidate will have a minimum of three years of expertise in various aspects of SBA lending, demonstrating proficiency in the following key responsibilities:

Loan Documentation and Closing:
  • Skillfully draft a variety of loan documents with precision and attention to detail.
  • Efficiently manage the preparation and execution of loan documentation.
  • Ensure accurate and timely completion of loan closing processes.

Compliance and Lender Oversight:
  • Maintain a thorough understanding of SBA regulations and guidelines.
  • Conduct comprehensive compliance checks and provide oversight to ensure adherence to lending standards.

Loan Structuring and Eligibility:
  • Assess and determine loan structures that align with SBA requirements.
  • Evaluate eligibility criteria for prospective borrowers.

Transactional Document Review:
  • Review Purchase/Sale Agreements, Leases, Stock Purchase Agreements, and other transactional documents.
  • Ensure compliance with SBA Standard Operating Procedures (SOP).

Due Diligence Management:
  • Oversee and review due diligence processes, encompassing leases, construction documents, franchise agreements, and related matters.
  • Ensure all necessary documentation is accurate and in compliance with SBA standards.

Title Insurance and Negotiations:
Order, negotiate, and review title insurance to safeguard the interests of all parties involved.

Legal Searches:
Conduct Uniform Commercial Code, judgment lien, and bankruptcy searches to assess potential risks.

Collateral Lien Perfection and Enforcements:
  • Execute collateral lien perfection activities to secure loans.
  • Manage and enforce collateral liens when necessary.

Settlement Statement Preparation and Closing Facilitation:
  • Prepare settlement statements accurately and efficiently.
  • Facilitate smooth and organized loan closings.

Client Management:
  • Cultivate and maintain strong relationships with clients.
  • Provide exceptional customer service and address client inquiries effectively.

A license to practice in Pennsylvania, Indiana, Kentucky, Michigan, Ohio, or West Virginia is required. Out-of-state candidates who are eligible for admission in Pennsylvania, Indiana, Kentucky, Michigan, Ohio, or West Virginia will be considered. All candidates should have a strong academic background and possess excellent research, writing, analytical, and communication skills.
