The Corporate Tax Counsel - Mergers & Acquisitions Tax Counsel is responsible for providing specialized legal and strategic tax advice in support of the company's business transactions and corporate initiatives, with a focus on insurance and healthcare industry matters. This role involves complex tax planning related to federal, state, and international tax law, and supports high-value, high-impact projects. The position works closely with business, tax, and legal leadership to deliver tax-optimized outcomes aligned with enterprise objectives, operating with a high degree of independence and strategic insight.

How you will make an impact:
  • Applies knowledge of corporate tax, healthcare, and insurance tax law, with emphasis on aligning tax planning with business and compliance goals.
  • Evaluates the tax implications of acquisitions, divestitures, reorganizations, and investments involving health plans, PBMs, and related healthcare service organizations.
  • Performs tax due diligence or coordinates efforts of outside advisors in the conduct of tax due diligence. Assists Tax Integration team with post-merger integration efforts.
  • Contributes to the tax strategy and risk management posture of the organization, including providing tax technical support for tax controversy matters and tax impacts of product design.
  • Supports strategic structuring efforts to ensure tax efficiency within the context of healthcare contract requirements, state-specific regulations, and PBM pricing models.
  • Brings deep technical experience in areas such as insurance company taxation, IRC Subchapter C, partnership tax, and state/local healthcare tax regimes, as well as broader M&A tax knowledge.
  • Consults, teaches, and mentors tax team members professionals and communicates complex tax issues and strategies to senior legal, financial, and operational leaders.
  • Acts as a trusted internal advisor on tax matters.
  • Identifies and communicates tax risk and compliance concerns related to insurance and healthcare entities, recommending mitigation strategies tailored to industry-specific issues.

Minimum Requirements:
Requires a JD, current license to practice law, and a minimum of 9 years of specific industry and/or technical legal experience post licensure; or any combination of education and experience, which would provide an equivalent background.

Preferred Skills, Capabilities and Experiences:
  • Experience managing outside counsel or outside tax advisors strongly preferred.
  • CPA or MBA preferred.

For candidates working in person or virtually in the below location(s), the salary* range for this specific position is $187,616 to $281,424.
