Armstrong Teasdale LLP is seeking a mid- to senior-level Lateral Associate with mergers and acquisitions expertise to join its Corporate Services Group (CSG) in our St. Louis office. The ideal candidate will have 4+ years of managing complex mergers & acquisitions and/or private equity transactions, including but not limited to advising clients on sophisticated transactions, conducting due diligence, and drafting and negotiating various transactional documents. Candidates should have a broad variety of experience working on acquisitions, divestitures, equity, debt financings, private equity-sponsored transactions, joint ventures, strategic investments, and other corporate transactions.Associates have an exciting opportunity to learn from and work closely with energetic, highly experienced legal practitioners in a friendly, cooperative environment.

- Simultaneously handles the high-level and strategic aspects of multiple legal matters at different stages of progression, from inception to conclusion

Licenses and/or Certifications: Licensed to practice law in good standing in Missouri; must maintain applicable license renewal and CLE requirements
Preferred Experience: 4+ years' relevant experience at a law firm working on M&A, Private Equity, and other transactional work. The ideal candidate will have substantial experience in drafting and reviewing sophisticated corporate documents, including but not limited to offering materials, commercial contracts, financing agreements, and governance documents. Candidates should have experience advising domestic and international clients on both public and private mergers and acquisitions, supporting private equity sponsors and portfolio companies throughout their investment lifecycle, and extensive experience working with companies through all phases of their businesses, from entity formation and corporate structuring to ongoing operational compliance.
Supervisory Responsibilities: Indirect - actively utilizes support staff or junior associates to ensure client satisfaction
Physical Activity: The employee will be required to sit (or utilize a standing desk) for prolonged periods and work on a computer
Travel Required: Less than 10%
