Job Description:An International Law Firm has an opening for a 2nd-4th year associate to join our Corporate & Securities Group, in our Northern Virginia or Washington, DC office, with a focus on M&A and Emerging Companies & Venture Capital (ECVC). This role offers the chance to work on sophisticated transactions across industries, representing established companies, high-growth startups, venture funds, and strategic investors.

Responsibilities:
- Advise on M&A transactions, venture financings, and general corporate governance.
- Draft and negotiate purchase agreements, merger agreements, financing documents, and related materials.
- Support emerging companies through their lifecycle, from startup to exit.
- Manage due diligence and coordinate with clients, senior attorneys and specialists on transactional workstreams.
Qualifications:
- J.D. from an accredited law school.
- Admission to the DC or Virginia bar (or eligibility to waive in).
- 2–4 years of corporate transactional experience, ideally at a large law firm.
- Experience in M&A, venture financings, or general corporate work.
- Strong drafting, negotiation, organizational, and interpersonal skills, with a strong attention to detail.
- Highly motivated with an interest in taking on increased levels of responsibility.
- Ability to handle day-to-day demands and workflow in a team-oriented and dynamic environment.
