Overview:Nelson Mullins Riley & Scarborough, LLP is seeking a mid- to senior-level Corporate & Securities Associate to join its Financial Institutions Group in ideally the Atlanta, Greenville, or Nashville offices, but also open to Baltimore and Dallas. A day in the life:
The Financial Institutions Group advises banks and financial services companies on a broad range of banking regulatory, corporate, and transactional matters, working closely with clients on regulatory compliance, governance, strategic transactions, and other matters arising in the ordinary course of operating regulated financial institutions. Within the group, the corporate and securities team has primary responsibility for day-to-day public company disclosure and SEC compliance, including drafting and reviewing Forms 10-K, 10-Q, 8-K, proxy statements, registration statements, and related filings, as well as advising on capital markets transactions, mergers and acquisitions, and related securities law and governance matters. The team frequently manages SEC filings with minimal supervision, coordinates efficiently with internal team members, clients, auditors, and other advisors, and integrates seamlessly into M&A transactions from a securities and disclosure perspective, exercising strong professional judgment in identifying issues, driving solutions independently, and knowing when to consult with senior team members on complex or high-risk matters.

We Know You:
With at least 5 years of experience in a large law firm corporate securities practice, you are a mid- to senior-level associate with substantial experience with public company reporting and SEC compliance under the '33 and '34 Acts, and experience supporting M&A transactions and capital markets transactions. Exposure to financial institutions clients, bank regulatory matters, or general corporate work and experience with equity or debt offerings are a plus. Demonstrating the ability to manage matters independently while collaborating effectively as part of a team in addition to consistently maintaining excellent writing, analytical, and communication skills is paramount. You are admitted to and in good standing in the Georgia, South Carolina, or Tennessee Bar.

In Baltimore, Maryland, the salary/wage range is $235,000 - $310,000 annually. In addition to base pay, employees may be eligible for performance bonuses and benefits such as healthcare, retirement plans, and paid time off.
