Description:

Kelley Drye & Warren LLP's Corporate Practice Group is seeking a highly motivated mid-level associate with a solid background in securities matters and/or lending work. Ideal candidates will enjoy the variety and diversity of a broad-based corporate practice, have previous law firm experience, and at least 5 years of experience.

Responsibilities:
  • Provide expert legal advice and guidance on mergers and acquisitions, private securities offerings, corporate governance, and other related matters
  • Draft and negotiate complex transactional documents, including purchase agreements, shareholder agreements, and confidentiality agreements
  • Conduct due diligence investigations and prepare comprehensive reports for clients
  • Manage and oversee junior associates and paralegals on various transactions
  • Collaborate with cross-functional teams to ensure seamless execution of deals
  • Stay updated on relevant legal developments and industry trends to provide proactive and strategic advice to clients
  • Represent clients in negotiations, mediations, and other dispute resolution processes, when necessary
  • Public securities and stock exchange compliance including 34 Act, and 33 Act a plus

Requirements:
  • Juris Doctor (J.D.) degree from an accredited law school
  • Minimum of five years of law firm experience in general mergers and acquisitions matters
  • Strong knowledge of corporate law, securities regulations, and corporate governance principles
  • Excellent drafting and negotiation skills, with a keen attention to detail
  • Proven ability to manage multiple complex projects simultaneously
  • Exceptional analytical and problem-solving abilities
  • Excellent interpersonal and communication skills, both written and verbal
  • Ability to work independently and collaboratively in a fast-paced and demanding environment
  • We have a strong preference for the candidate to be based in either our Chicago or New York office locations. Bar admission is required in an attorney's resident and/or affiliated office.
