Dechert LLP seeks an Associate in New York, NY. As part of the Corporate and Securities practice group, provide legal support for buyers, sellers, and advisers in sophisticated, complex mergers and acquisitions around the globe; provide analysis and counsel on legal, policy and general business issues including technical complex transactions on financial and market implications; research legal risks facing clients; develop and recommend legal strategy and positions on legal issues; draft, administer and review legal documents such as correspondence, agreements, and contracts; develop and recommend policies on legal issues; coordinate and conduct research on a variety of legal issues. The position requires hands-on drafting and negotiation expertise in connection with complex M&A and private equity transactions and related transaction documentation. In this role, the associate serves as a key member of deal teams who is responsible for producing acquisition, equity and related documents, and running a variety of deal process workstreams ranging from due diligence to closing. Assist partners and senior associates in pro bono legal assignments; and participate in firm activities and committees, including legal and other community organizations and/or functions, as needed. J.D. from an accredited U.S. law school; and the following:
- 2 years' experience providing analysis and counsel on legal, regulatory, and business issues related to mergers and acquisitions including complex corporate transactions; conducting research and providing strategic advice to clients regarding underlying deal structures and deal processes.
- 2 years' experience drafting and reviewing primary deal documents including purchase and sale agreements, merger agreements, and ancillary documents including disclosure schedules, representations and warranties, LLC agreements, stockholder agreements and management equity incentive programs.
- 2 years' experience corresponding with partners on major deal negotiation issues; coordinating with subject matter experts in areas including antitrust, environmental, real estate, tax, data privacy and intellectual property with regard to key regulatory and compliance issues; participating in negotiating provisions in principal deal documents and calls with opposing counsel.
- 2 years' experience leading key deal workstreams; preparing due diligence memoranda and issues lists; reviewing and editing corporate formation, organization and transaction agreements drafted by junior associates; reviewing and editing reports, opinions, correspondence, and articles drafted by junior associates.
- 2 years' experience using workflow automation tools including iManage and Intelligize; experience using artificial intelligence tools including Legora or Kira.
- Up to 10% domestic travel required for meetings and conferences.
