Responsibilities and practice:
Dentons US LLP is seeking a mid-level securities associate with excellent academic credentials and 3–5 years of experience to join our rapidly growing Corporate Practice in our New York office. The person hired for this position will work directly with partners, associates, and other team members on a wide range of securities, capital markets, and general corporate matters. The successful candidate can expect to assume such responsibilities as:
- Preparing and managing SEC and other regulatory filings and submissions
- Drafting, reviewing, and negotiating key legal documents and ancillary agreements for corporate and securities transactions
- Contributing to the coordination and execution of successful transactions, including public and private offerings, private placements, Regulation S offerings, and M&A transactions
- Conducting or managing due diligence reviews and coordinating deal closings
- Managing and developing client relationships
- Supervising and training junior associates and managing transactional specialists
- Supporting the practice by performing research and writing as needed
Pursuant to New York law, the salary range for this position will be $260,000–$365,000 based on experience. Based on years of experience, Dentons associates may have a title of Associate, Managing Associate, or Senior Managing Associate. Technical skills:
- 3–5 years of legal experience in a major national or international law firm is required
- Experience drafting key legal documents for corporate and securities matters is required
- Experience interacting with regulatory authorities such as the Securities and Exchange Commission, stock exchanges, and similar bodies is required
- Securities transactional experience and reporting and compliance experience is preferred
- Experience in public and private offerings (including private placements and Regulation S offerings) is preferred
- Tech company experience is a plus
Other Requirements:
Must be licensed or eligible to practice law in the State of New York and be in good standing
