Description:
The Opportunity:We're looking for an entry-level to junior attorney with 0–2 years of experience who wants to build a career in M&A and business transactions. You don't need a book of business or years of deal experience; you need strong fundamentals and the drive to learn deal mechanics quickly. You'll work directly on live transactions, including drafting and reviewing letters of intent, purchase agreements, and closing documents, conducting legal due diligence, and preparing disclosure schedules, all under the direct supervision of partners who are actively closing deals.
Key Qualifications:
- Juris Doctor from an accredited law school
- 0–2 years of relevant experience; recent graduates and judicial clerks are encouraged to apply
- Utah bar license required, or eligibility for admission to the Utah bar (bar exam pending, UBE score transfer, or admission by motion)
- Familiarity with, or strong interest in, the M&A deal lifecycle: LOIs, due diligence, purchase agreements (APA/SPA), disclosure schedules, and closing
- Excellent analytical, drafting, and communication skills
- A track record of initiative, integrity, and success working independently in a remote environment
