About the role:
Rise48 AM LLC is seeking a Corporate Legal Counsel to join our growing team. This role will provide broad legal support across the company's real estate, investment, and corporate operations. The ideal candidate will have strong transactional experience and be comfortable drafting, reviewing, and negotiating a variety of agreements related to real estate, corporate governance, financing, and vendor relationships.

Key Responsibilities:
Review, and negotiate a wide range of contracts, including:
- Loan documents and financing agreements
- Operating agreements, partnership agreements, and corporate governance documents
- Real estate purchase and sale agreements, leases, and vendor contracts
- NDAs, service agreements, and other commercial contracts
- Support real estate and investment transactions, including due diligence, entity formation, and closing logistics
- Advise internal stakeholders on legal risks, obligations, and compliance requirements
- Maintain and update corporate records, organizational documents, and entity charts
- Collaborate with finance, acquisitions, asset management, and operations teams to align legal support with business objectives
- Manage outside counsel relationships as needed for specialized matters
- Stay current on laws and regulations impacting real estate, securities, and corporate transactions
Qualifications:
- Juris Doctor (JD) from an accredited U.S. law school
- Active bar membership in good standing in at least one U.S. jurisdiction
- 7-14 years of relevant legal experience, preferably in real estate, finance, or corporate transactions (law firm or in-house)
- Strong drafting, negotiation, and communication skills
- Experience with loan documentation, corporate governance, and real estate transactions preferred
- Ability to manage multiple projects in a fast-paced, entrepreneurial environment
- Detail-oriented, business-minded, and solution-driven approach to legal issues
Preferred Qualifications:
- Prior in-house counsel experience with a real estate investment, private equity, or asset management firm
- Familiarity with joint venture structures, tenant-in-common transactions and investor documentation
- Knowledge of securities compliance related to private offerings
- Experience supporting acquisitions, financing, and refinancing transactions
