Description:

The Corporate Counsel will serve a key role in supporting the day-to-day legal needs of the company, with a focus on advising on and managing the company's commercial transactions, including licensing, collaboration, supply, sales, manufacturing, and development agreement, and supporting an array of other matters, including employment and SEC reporting compliance. This position will report directly to the Company's Chief Legal Officer and will also work closely with the Chief Science & Technology Officer and in-house intellectual property counsel. This position offers the unique opportunity to have high visibility with and access to the executive leadership team in a high growth technology-based manufacturing company as well as the opportunity for increased scope of responsibility commensurate with demonstrated performance.

Fundamental Components:
  • Serve as corporate counsel across multiple functional disciplines, including sales, research and development, and manufacturing groups.
  • Draft, review and negotiate a wide range of commercial contracts, including customer agreements, supply agreements, licensing agreements, joint development / research and development agreements, non-disclosure and material transfer agreements and other commercial or corporate agreements.
  • Administer the company's contract management and contract approval process.
  • Provide accurate, timely and business-savvy legal advice across a wide variety of corporate functions, including human resources, finance and accounting, research and development, sales, and manufacturing.
  • Assist Chief Legal Officer with corporate secretary duties and SEC reporting obligations.
  • Support the development and enforcement of company policies and procedures to ensure legal and regulatory compliance.
  • Performs other related duties as assigned.

Required Background/Education/Experience:
  • Demonstrated ability and confidence in contract review, drafting, negotiations and administration.
  • Intellectual curiosity and eagerness to broaden legal expertise across multiple practice areas and functional disciplines.
  • Sound judgement and ability to analyze situations and information to develop and provide practical, fact-based, business-oriented legal advice.

  • Juris Doctor (JD) degree from an accredited law school and active state bar license
  • Minimum of 3-5 years of relevant legal experience (law firm and/or in-house) with a strong background in corporate transactions and commercial contracts; relevant experience in SEC reporting, intellectual property licensing and portfolio administration and/or employment law is strongly desired.
