The Role:
As we continue to grow as A Vitro Diagnostics Company, we are seeking a Corporate Counsel to join our Legal and Compliance team. The candidate will provide timely review and negotiation of various contracts (e.g. consulting, services, procurement, commercial, and other complex transactional agreements). Advise on the structure of such agreements with internal stakeholder teams, including Procurement, IT, Commercial, Marketing, R&D, Finance, Information Security, and Privacy. Support Procurement team, and internal stakeholders on questions and guidance related to third party contracts and vendor relationships. Respond to inquiries on contract interpretation. Provide general legal support and training to internal stakeholder teams. Participate in legal department meetings and business project meetings. Support fellow attorneys, paralegals and compliance team in all general contracting areas in variety of areas of stakeholder inquiries or projects, including compliance and privacy.

This position can be located in San Diego, CA or Rochester, NY.

The Responsibilities:
  • Demonstrate strong business acumen and ability to draft and negotiate a variety of contracts, including master service and supply agreements, consulting agreements, commercial agreements, and other complex transactional agreements.
  • Ensures contract templates are regularly updated to ensure they are consistent with industry best practices, internal policies, and compliant with applicable laws and regulations and cybersecurity, privacy, indemnity, and other risk allocation issues.
  • Advise business clients on various contracting and corporate legal matters.
  • Work independently to determine method for completion of new contracts and/or projects.
  • Identify legal issues and business risks and escalate appropriately.
  • Effectively communicate with all levels of the organization and provide business clients with clear and precise guidance on business, compliance, and legal risks.
  • Collaborate with subject matter experts cross-functionally.
  • Identify opportunities for process improvements and efficiencies state.
  • Handle large and complex projects in support role (e.g., due diligence or data room support) and, from time to time take leadership role (e.g., contract lifecycle management).
  • Proactively develop and maintain legal knowledge in specialized area(s), remaining up to date on current regulations, cases, trends, and industry best practices.
  • Participate in the development of policies and procedures.
  • Promote and ensure compliance with QuidelOrtho's Code of Conduct, as well as other company policies and procedures, and demonstrate a commitment to promoting an ethical workplace culture and supporting compliance processes and programs.
  • Perform other work-related duties as assigned.

The Individual:
Required:
  • JD degree or equivalent required.
  • License to practice law in any of the 50 US states, preferably from CA, NY, or NJ.
  • 8+ years of relevant experience in an in-house corporate role or at a national law firm with substantial commercial contracting experience; healthcare, medical device, or biopharma industry experience preferred
  • Excellent interpersonal skills, such as persuasion, negotiation, cooperation, diplomacy, strong planning, organizational and coordinating skills, and strong internal consulting skills.
  • Ability to develop good working relationships with business clients and work collaboratively throughout a large and geographically diverse public company.
  • Ability to handle multiple contracts at the same time and manage timelines with business stakeholders.
  • Ability to deliver practical, understandable, and actionable legal advice to internal business clients.
  • Demonstrable working knowledge and commercial contract experience across various contract types.
  • Strong drafting, negotiating and communication skills, including ability to communicate complex topics in an easily understandable manner to non-lawyers; ability to communicate effectively with businesses to ensure contract reflects desired product or service.
  • Ability to work independently with minimal supervision, while acting with an appropriate sense of urgency in a fast-paced environment is a must. Timely and consistent communications to internal customers with respect to anticipated turnaround times and updating as to the status of each request.
  • Applies advanced knowledge and understanding of legal concepts and principles to manage a wide variety of projects.

Preferred:
  • Familiarity with general compliance matters, including relevant advertising, fraud & abuse, and diagnostic industry guidelines.
