Description:

The Corporate Counsel will report to the General Counsel and provide broad legal support across the organization. This role is ideal for a junior attorney with 2–5 years of experience who is eager to develop a diverse in-house practice within a dynamic, fast-paced financial services environment. The position offers hands-on involvement in capital markets transactions, corporate governance, contract negotiation, collections and litigation oversight, marketing review, and regulatory compliance.

Job Duties and Responsibilities:
  • Support debt and equity capital markets activities, including documentation, due diligence, and transaction execution.
  • Assist with corporate governance matters, including preparation of board materials, maintenance of corporate records, and subsidiary management.
  • Support compliance initiatives, including monitoring regulatory developments affecting lending and financial services in the agricultural space.
  • Manage and coordinate outside counsel in connection with collection efforts, litigation, and dispute resolution.
  • Draft, review, and negotiate a wide range of commercial agreements, including financing documents, vendor contracts, and service agreements.
  • Partner with the marketing team on review of materials and communications to ensure compliance with legal and regulatory requirements.
  • Collaborate cross-functionally with business teams to identify and mitigate risk while supporting business objectives.
  • Contribute to process improvements and internal training to strengthen the company's legal and compliance framework.

Experience, Qualifications, and Requirements
  • J.D. from an accredited law school and active membership in good standing with at least one state bar.
  • 2-5 years of relevant legal experience in a law firm, financial services, or corporate in-house environment.
  • Experience with secured transactions, corporate transactions, financial services regulation, or litigation preferred.
  • Strong drafting, negotiation, and analytical skills with attention to detail a must.
  • Ability to manage multiple projects and deadlines in a fast-paced, entrepreneurial environment.
  • Excellent communication skills and a collaborative, business-oriented approach.
  • Interest in the agricultural or specialty finance industries a plus.
