Who are we looking for?The Corporate Counsel, M&A and Securities will focus on SEC & NYSE reporting and compliance, Mergers & Acquisitions (M&A) and other areas, including investor relations, treasury matters, corporate governance matters and ESG. We are looking for a person of high integrity, judgment, and business acumen who is comfortable working independently and in a quick paced, challenging environment. The successful candidate will not only display legal excellence and relevant experience, but also attention to detail, a proactive and practical approach, and a cooperative personal style. This position is based in Norwalk, Connecticut (negotiable). Element Solutions' strategy is based on operational excellence and prudent capital allocation. The latter entails frequent acquisitions and nimble, creative access to the capital markets. This role will be critical in supporting those aspects of the strategy.
What will you be doing?
- Provide first line legal advice on securities law matters, including preparing all SEC filings, such as Forms 10-K, 10-Q, 8-K, Proxy Statements, and Section 16 reports. Collaborate with the Finance and Investor Relations teams on the quarterly earnings process
- Provide securities law advice and compliance guidance for earnings releases, investor materials, management presentations and other communications
- Ensure compliance with all applicable securities laws and regulations, NYSE listing requirements and corporate laws, and monitor regulatory developments and best practices
- Prepare annual meetings of stockholders, including organization and preparation of meeting materials
- Support capital markets transactions, including equity and debt offerings
- Serve as the lead attorney on all legal aspects of global mergers, acquisitions, divestitures, and joint ventures from inception through post-closing integration
- Draft, review, and negotiate complex M&A transaction documents, including purchase and sale agreements, confidentiality agreements, letters of intent, and transition service agreements
- Support M&A due diligence activities and identify and mitigate legal and regulatory risks
- Provide legal support on credit agreement/indenture compliance, debt repricing, cash repatriation events, local credit facilities, delegation of banking authority, and other treasury and tax related matters
- Assist with global subsidiary management, including ongoing compliance, liquidations, dissolutions, reorganizations and intercompany transactions
- Provide legal support, where needed, on the company's ESG program, including review of ESG disclosures, the company's sustainability report and periodic ESG questionnaires
- Juris Doctorate (J.D.) degree or equivalent
- U.S. state bar active membership in good standing
- Must be or become authorized to practice law in the State of Connecticut (Authorized House Counsel)
- Minimum 7 years as a practicing lawyer with strong experience with SEC reporting ('33 and '34 Act), and M&A transactions, preferably from a public company in-house experience
