Phillips & Cohen Associates, Ltd. (the “Company”), along with its affiliated companies, the global leader in deceased account management with operations in the United States, United Kingdom, Canada, Australia and New Zealand, seeks a Corporate Counsel to join its legal team in support of operations in the US and internationally. The position would benefit from the oversight and mentoring of the Global General Counsel (GGC) and would have the opportunity for growth, along with the Company.

This role will be responsible for supporting the Company in a wide range of corporate, transactional, contractual, regulatory and other legal matters impacting the Company's various business units worldwide, including but not limited to contract review, legal research, regulatory licensing, intellectual property protection, consumer collection, estate and probate processes, and all other legal matters as may be assigned by the GGC and/or his designees. This support will cover a wide array of areas including collection and servicing agreements, account purchase agreements, technology licensing, M&A activity, corporate governance, data privacy/protection and related legal and regulatory matters. The Corporate Counsel must be able to operate independently and be able to effectively communicate in a clear, concise, and professional manner which demonstrates proficiency in general corporate legal matters.

This hybrid position is part of the centralization and oversight of both US and international legal matters for the Company and is expected to be based out of our Wilmington, Delaware office 2 to 3 days per week.

Responsibilities:
  • General corporate compliance and legal assistance, including but not limited to, drafting, negotiating, and reviewing a wide range of corporate and commercial agreements, including collection and servicing agreements, account purchase agreements, technology licensing and data processing agreements, referral agreements, transactional documents, non-disclosure agreements, etc.
  • Assignments will include the handling and legal management of ad-hoc projects across a broad spectrum of complex business, legal, and strategic issues.
  • The role will include provision of ad-hoc legal advice on a range of matters, including certain legal and regulatory issues, developments, and changes that may impact the Company and its businesses, as well as identifying and assessing trends and emerging risks.
  • Advise on corporate structure, governance and the formation and proper operation of US and internationally based business units, including in new markets or with respect to new products or services. Preparing and monitoring various regulatory filings, license applications, review of cross-border data flows, financial and currency controls, and corporate secretarial tasks.
  • Support the creation and maintenance of template agreements and refining the Company's internal contract processes and language, including the development of standardized agreements and a centralized repository of laws, regulations and contracts impacting or involving the Company and its operating subsidiaries.
  • Provide legal support to PCA's marketing, sales, business development and compliance teams under the supervision of the GGC, which involves the support of a fast-paced business with tight deadlines while providing diligent and detailed work product over a wide spectrum of legal and regulatory matters.
  • Support the effective and efficient use, coordination, and management of outside counsel and assist the GGC in developing, and implementing global legal group objectives; and
  • Any other relevant duties, tasks, or assignments as requested or necessary related to the Company and its businesses, as may be assigned by the GGC and/or his designee.

Desired Experience:
  • Juris Doctor (JD)
  • Licensed to practice law in at least one state in the US
  • 5 or more years of working in a sophisticated corporate law firm and/or prior in-house counsel experience
  • Ability to work in a multinational, regulated environment providing practical legal support and advice on compliance related matters
  • Eligibility & willingness to travel both domestically and abroad, as needed
