Position Summary
Nusano is seeking a motivated and detail-oriented Corporate Counsel who will be the lead on commercial contracts and support the Nusano's sales and Commercial Affairs team. This role will report to our Senior Corporate Counsel and requires experience working in a business development environment and a thorough understanding of contract principles and the ability to present contractual language recommendations to stakeholders. This is an on-site role based in West Valley City, Utah.
Responsibilities:
What You'll Do:
- Structure, draft and negotiate transactional documents (term sheets, supply agreements, customer contracts, licensing agreements, partnership agreements, strategic collaboration agreements).
- Serve as a legal partner to the sales and Commercial Affairs team, providing practical, business-oriented guidance to support execution of revenue-generating deals.
- Collaborate cross-functionally with Finance, Procurement, Quality & Regulatory, and Operations to align legal terms with business objectives.
- Advise on pricing structures, payment terms, liability allocation, IP provisions, warranties, and other key commercial terms.
- Evaluate contract provisions for potential risk and to ensure compliance with appropriate laws, regulations, corporate policies, and business unit procedures.
- Support contract lifecycle management, including amendments, renewals, and escalations.
- Monitor and support compliance with applicable laws impacting commercial transactions.
- Contribute to the development of contract procedures, documentation processes, playbooks and other contract negotiation guidelines.
- Handle general in-house legal matters as needed to support business operations.
- Perform other duties as assigned.
Qualifications:
Minimum Requirements:
- Juris Doctorate degree.
- 5+ years of relevant contracts negotiation experience.
- Strong experience negotiating customer-facing, revenue-generating agreements.
- Proven drafting skills.
- High attention to detail and superior reading comprehension skills.
- Impeccable recordkeeping and record retention skills.
- Strong interpersonal and communications skills to achieve impactful results with internal and external stakeholders.
- Comfortable working independently and managing multiple deals simultaneously.
- Proficient in Microsoft Office Suite and Adobe Sign.
Preferred Requirements:
- Experience in the pharmaceutical, nuclear, or biotechnology industries.
- Experience working in a start-up or rapidly changing environment.
Physical Requirements:
- Work to be conducted in an office environment.
- Must be able to sit for long periods of time. Frequent use of computer with repetitive use of keyboard, mouse and manual dexterity.
