Description:
We are seeking a highly motivated and experienced Corporate Counsel to join our legal team. In this critical role, you will provide comprehensive legal counsel and support across a wide range of business functions, including but not limited to sales, operations, marketing, and finance across both our Security Technology electronic security integration business and our portfolio of product manufacturing and software development businesses (3xLogic, Pacom, Sonitrol, Instantel). You will report to the General Counsel – North America for Securitas Technology and will be a key partner to business leaders, advising on strategic initiatives and mitigating legal risks.Key Responsibilities:
- Contract Negotiation & Drafting
- Negotiate and draft a variety of commercial contracts, including sales agreements, subcontractor agreements, SaaS agreements, EULAs/Terms of Use, pilot/beta testing agreements, and dealer agreements
- Leverage AI to develop and implement contract templates and playbooks to streamline processes and ensure consistency
- Work closely with a team of paralegal contract administrators, potentially in a supervisory capacity
- Litigation and Disputes
- Investigate and assist with discovery in both pre-litigation and litigated matters related to security events, auto accidents, and construction disputes.
- Give recommendations to senior leadership on settlement value of cases.
- Data Privacy & Cybersecurity
- Advise on data privacy and cybersecurity matters, including compliance with relevant regulations (e.g., GDPR, CCPA, etc.)
- Negotiate and draft data processing agreements and other agreements related to data security and privacy
- Training & Communications
- Develop and deliver training programs to internal teams on legal and compliance topics.
- Enforce compliance with internal legal policies and procedures
- Review marketing materials for legal and regulatory compliance
- Process Improvement
- Continuously identify and implement process improvements to enhance legal and operational efficiency and to reduce legal risk
- Miscellaneous:
- Assist with additional legal tasks as assigned by General Counsel – North America, or as requested by the business
Qualifications:
- Juris Doctor (J.D.) degree from an accredited law school
- Admitted to and in good standing with the bar of at least one state
- Four to seven years of relevant experience in-house or in a firm, with a strong emphasis on contracts
- Significant experience in negotiating and drafting a wide range of commercial contracts
- Strong analytical and problem-solving skills with the ability to think strategically and creatively
- Willingness to learn and leverage technology, including generative AI software, to increase efficiency
- Excellent written and verbal communication, interpersonal, and presentation skills
- Ability to work independently and as part of a team
- Strong organizational and time-management skills with the ability to manage multiple projects simultaneously
Preferred Qualifications:
- Experience in the electronic security industry or related security or technology industries
- Litigation experience
- Proficiency with generative AI contract software
- Skilled in Smartsheet software, particularly with respect to designing/maintaining Smartsheet
