Position Summary:The Corporate Counsel will report to Evapco's General Counsel and serve as a key legal advisor on contracts and commercial transactions. The role will focus primarily on negotiating, drafting, and supporting agreements for Evapco and its subsidiaries, while also advising senior management and employees on related legal and regulatory matters that affect the company's business objectives.
Key Responsibilities:
The Corporate Counsel will provide legal advice and services to Evapco's executives and employees, with a primary focus on negotiating contracts and other commercial transactions for Evapco and its subsidiaries in North America, Europe, Asia, South America, and Australia. The role also will support corporate matters and litigation management when needed. The specific duties will include, among others:
- Drafting, reviewing, and revising customer, vendor, supply, distribution, confidentiality, licensing, services, and other commercial agreements;
- Negotiating terms and conditions for all types of contracts, including agreements with Engineering Procurement Construction (EPC) companies;
- Negotiating commercial transactions including acquisitions, joint-ventures, and strategic supply agreements;
- Advising business teams on contract risk, commercial terms, liability exposure, dispute avoidance, and practical solutions aligned with Evapco's business objectives;
- Supporting improvements to contract templates, playbooks, approval processes, and contracting workflows to promote consistency, efficiency, and appropriate risk management;
- Pursuing legal claims and dispute resolution;
- Negotiating and pricing change orders.
Education/Experience:
Minimum Requirements:
- 3+ years of legal experience (law firm or in-house legal department)
- Significant experience drafting, reviewing, and negotiating commercial agreements, including customer, vendor, supply, services, procurement, confidentiality, and construction-related agreements
- Juris doctor required from an accredited law school
- Bar membership in Maryland or other U.S. jurisdiction
- Ability to balance protecting company assets with business objectives
- Ability to work as part of a team
- Ability to perform wide range of tasks, regardless of importance
- Exceptional writing skills
- Strong analytic abilities
- Ability to mediate conflict
- Highly developed negotiation skills
Location/Reporting:
- Position will be based at Evapco's Global Headquarters in Taneytown, Maryland.
- This is an in-person position. No remote or hybrid work offered.
- Candidate will report to the Evapco General Counsel and work collaboratively with the individual business leaders involved with a particular matter and other members of the Evapco Legal Department.
