This is an opportunity for a relatively junior attorney to become a valued member of a small in-house legal department supporting a dynamic, well-established services company. Responsible for providing a wide range of legal services to NAES Corporation and its various business units and subsidiaries. Work directly with executive, legal, business development, estimating, and operations personnel. Oversee performance of outside legal counsel, as applicable, including litigation management. Advise on mitigating risk and protecting NAES's interests in its dealings with customers, suppliers, regulators, and employees. Advise on compliance with applicable international, federal, state and local laws, as well as company policies and procedures. Support and improve NAES's compliance programs. Provide legal and risk training to stakeholders.
Primary Duties:
- Develop a deep understanding of NAES's business units, their customers and suppliers, and the competitive landscape in which they function.
- Support compliance reporting, policy development, and oversight of compliance programs.
- Participate in the initial evaluation of new business opportunities; review and provide legal advice on requests for proposals; review, comment, mark-up, and/or advise on contract terms, and company proposals.
- Develop and improve contract templates for use with customers, suppliers, and subcontractors, as warranted, handle contract drafting, review and negotiation.
- Propose alternative approaches to achieve desired ends in light of business risks and customer issues.
- Provide advice and training to corporate and project management personnel
- Address customer/vendor contracting issues and disputes; coordinate and manage disputes assigned to outside counsel while effectively managing internal/external legal costs.
- Design and implement strategic education and training initiatives to raise company personnel awareness of risk issues and ensure compliance with company policies and procedures.
- Provide legal advice on employment and labor matters, drawing in subject matter experts as needed. Contribute to refinements and updates to employee handbooks and employment-related policy documents.
- Perform corporate governance/secretarial work
- Participate in due diligence and other aspects of M&A practice.
- Perform other duties and projects as assigned.

Scope of Responsibilities:
Make decision within policy constraints. Perform duties independently with general or limited directions. Determine own practices and procedures, contributing to the development of new concepts. Position entails recurring work situations with frequent variations involving a high degree of complexity. Establish contacts inside and outside the company, including with NAES customers, internal department personnel, immediate associates, vendors, and own supervisor. Contacts are usually made on own initiative concerning matters requiring explanation, discussion, interpretation or approvals. This position has compliance accountability and manages vendors consistent with budgets.
Compensation:
The initial salary will range from $163,000 to $187,450
Working Relationships:
This position reports directly to the VP, Legal & Compliance and has no direct reports. Position may support responsibilities of other attorneys within the NAES Legal Department.
Education and Experience:
Graduation from an accredited law school and active membership in good standing with the Bar Association (or ability to obtain reciprocity admission). 4-6 years' work experience as an attorney, with prior law firm (or equivalent) and/or in-house experience. Client counseling experience required. Experience with employment law preferred. One or more of the following desired: insurance, construction, compliance, commercial contracts, international, energy and litigation.

Working knowledge of MS Office tools.
Physical Requirements and Working Conditions
Available for business hours Monday through Friday. A hybrid work schedule may be negotiable, though regular presence in the office is required. Travel may be required to meet client or project requirements. Extended hours may be required during travel or due to variable workload and project specific requirements.
Fit for Duty
All employees will participate in the NAES Fitness for Duty Program. This program includes a post-offer physical examination and drug screening and post-employment random drug screening.
