About this Job:
The Corporate Counsel is a key legal advisor at CarMax, Inc. (NYSE: KMX), a leading auto retailer and one of the Fortune 100 Best Companies to Work For. In this role, you will provide legal counsel and business support in a fast-paced and dynamic environment, with your primary focus on legal matters related to securities and corporate governance. This position will support CarMax's compliance with securities disclosure obligations, corporate governance responsibilities, and SEC and NYSE compliance matters.

Essential Duties and Responsibilities:
  • Support the Company's Securities and Exchange Commission and New York Stock Exchange compliance, which includes support in drafting, reviewing and revising Securities Exchange Act documents, including Forms 8-K (Current Reports), 10-Q (Quarterly Reports), 10-K (Annual Reports) and 14A (Proxy Statements).
  • Prepare Section 16 filings (Forms 3, 4 and 5) for the Company's officers and directors. Support administration of the Company's insider trading policy, including addressing pre-clearance requests and assisting with review of Rule 10b5-1 trading plans/related disclosure obligations.
  • Assist with the management of the Company's corporate governance activities, including preparing materials for board and committee meetings and the annual meeting of shareholders, and preparing and distributing certain board communications, including annual D&O questionnaires. Monitor shareholder engagement and proxy advisor (e.g., ISS, Glass Lewis) developments. Research corporate governance trends and practices and summarize related information for presentation and decision-making.
  • Support administration of the Company's equity compensation plans.
  • Assist with advice related to the Company's asset-backed securitization program and other funding mechanisms
  • Collaborate with the business and other Legal & Compliance Team members on cross-functional projects while providing support for new innovations, products and services.
  • Lead special projects on an as-needed basis.

Qualifications:
To perform this job successfully, an individual must be able to perform each essential duty satisfactorily. The requirements listed below are representative of the knowledge, skill, and/or ability required.

Education and/or Experience:
  • Law degree
  • Member in good standing with the bar of a U.S. jurisdiction
  • Minimum 3 years of legal experience at a law firm and/or in-house legal department, with substantive experience advising public companies in securities law, corporate governance and/or capital markets matters
  • Ability to develop and execute a plan with minimal direction
  • Excellent written and verbal communication skills
  • Excellent analytical, reasoning, and problem-solving skills
  • Strong interpersonal and leadership skills

Work Location and Arrangement
: This role will be based out of the CarMax Home Office in Richmond, VA and Associates will work onsite 4 days per week.
