Since raising our Series B funding in August 2022, we have accelerated our mission to empower organizations to understand, quantity, manage, and mitigate their cyber risk. With our innovative technology and data-driven insights, we are rapidly expanding internationally, helping businesses navigate the complex world of cybersecurity and insurance.

We are looking for a highly skilled and experienced Corporate Counsel to join our expanding team - who wants to work at an early-stage company, and is excited by the opportunity to truly roll up their sleeves on everything from the most critical strategic matters to the minutia needed to run a company as the single-person (for now) legal team. In this role, you will provide strategic legal advice, ensure compliance with applicable laws and regulations, and help drive our continued growth.

Responsibilities:

Provide legal advice and support on a wide range of corporate matters, including contracts, regulatory compliance, data privacy (including GDPR), employment law, and intellectual property.
Draft, review, and negotiate various commercial agreements, including customer agreements, vendor contracts, license agreements, and partnership agreements.
Manage and mitigate legal risk by developing and implementing appropriate policies, procedures, and training programs.
Assist in the expansion of Axio's international operations, including researching and advising on local laws, regulations, and licensing requirements.
Support corporate governance and board matters, including preparing resolutions, minutes, and other corporate documents.
Advise on and manage intellectual property matters, including patent, trademark, and copyright filings and enforcement.
Collaborate with cross-functional teams to ensure that legal and business objectives are aligned and met.
Monitor and keep the company informed of relevant legal developments, regulatory changes, and industry trends.
Manage external legal counsel, as needed, to ensure cost-effective and high-quality legal representation.
Implement a contract management system including compiling and organizing existing legal documents
Assist with any other legal or compliance-related matters, as needed.

Qualifications:

Juris Doctor (J.D.) degree from an accredited law school and an active member in good standing of at least one state bar.
Minimum of 5 years of legal experience, preferably with a combination of law firm and in-house experience.
Demonstrated expertise in corporate law, contracts, and compliance matters.
Experience working with technology companies, especially in the cybersecurity or insurance sectors, is a strong plus.
Knowledge of international law and experience with cross-border transactions and expansion.
Exceptional communication, negotiation, and interpersonal skills, with the ability to build strong relationships with internal and external stakeholders.
Strong analytical, problem-solving, and organizational skills, with the ability to manage multiple projects simultaneously.
